What the Business Services Valley Agreement Is

The Business Services Valley Agreement is a written contract that defines terms between a service provider and a client for recurring or one-off business services. It sets scope of work, deliverables, payment terms, deadlines, liability limits, confidentiality obligations, and termination procedures. This template is intended for commercial engagements where parties want clear operational expectations, measurable milestones, and an enforceable allocation of risk. Use it as a starting point and adapt governing law, insurance, or intellectual property clauses to your specific transaction and industry requirements.

Why a Clear Agreement Matters for Your Business Relationship

A concise written agreement reduces ambiguity, aligns expectations, and preserves remedies in case of dispute. It documents deliverables, payment triggers, change-control steps, and allocation of liability, which helps with vendor management and internal approvals. Electronic execution is enforceable under the ESIGN Act (15 U.S.C. ch. 96, 2000) and UETA (1999) where adopted.

Core Sections to Include in a Professional Agreement
