What the Business Services VSAN Is

The Business Services VSAN is a standardized authorization form used by organizations to document and approve third-party service engagements. It captures vendor identity, scope of work, delivery milestones, pricing or billing instructions, points of contact, and compliance attestations. The record creates an auditable trail of authorization and can be completed electronically where permitted by U.S. law. Execution under the federal ESIGN Act (15 U.S.C. §7001) or an applicable state UETA statute typically provides legal parity with a handwritten signature, except for listed statutory exceptions.

Why the VSAN Matters for Business Controls

Use the Business Services VSAN to centralize approvals, reduce processing errors, and create a reproducible audit trail. When signed electronically in compliance with ESIGN (15 U.S.C. §7001) or state UETA law, the VSAN supports legally enforceable authorization for most commercial transactions.

Why the VSAN Matters for Business Controls

Who Typically Prepares and Signs a VSAN

Procurement managers, contract administrators, and operations staff commonly complete or review the VSAN to approve vendor services and payment terms.

  • Procurement teams — standardize approvals, compare quotes, and attach SOWs or pricing schedules.
  • Legal departments — verify contract terms, indemnities, and governing law selections before signature.
  • Finance/accounts payable — confirm billing instructions, tax IDs, and payment schedules for processing.

Smaller businesses may combine these roles; enterprise organizations typically route VSANs through role‑based approvals or automated workflows before final signature.

Core Sections to Include in a Professional VSAN

A complete Business Services VSAN groups information into clear sections that define the vendor, services, pricing, compliance attestations, effective term, and required approvals or signatures.

Vendor Details

Full legal name, DBA (if any), EIN/TIN, and vendor address. Accurate identifiers avoid payment delays and enable correct 1099 reporting.

Scope of Work

Concise description of deliverables, milestones, and acceptance criteria. Attach or reference a Statement of Work to prevent scope disputes.

Pricing & Billing

Specify compensation, invoicing frequency, payment terms, and currency. Include purchase order numbers if required by accounts payable.

Compliance Attestations

Include attestations for required regulatory standards (e.g., HIPAA, data protection), insurance limits, and any required permits or certifications.

Term & Termination

State effective date, contract term, renewal mechanics, and termination rights including notice periods and transition obligations.

Approvals & Signature

Designate authorized signers, capture dates, and retain an audit trail for electronic signatures including timestamp and signer identity evidence.

Step-by-Step: Prepare, Approve, and Finalize a VSAN

Follow this sequence to prepare, route, and archive a Business Services VSAN effectively.

  • 01
Gather Information: Collect vendor ID, EIN, scope, and pricing.

Draft and Attach SOW: Add detailed deliverables and milestones.
  • 03
Route for Approval: Send to legal, procurement, and finance in order.
  • 04

Choose a signing platform that supports common file formats, strong authentication options, and an auditable completion record.

  • File Formats: PDF and DOCX supported
  • Authentication: Email, SMS, or SAML options
  • Integrations: CRM and storage connectors

Verify the provider supports required compliance controls such as TLS/AES encryption, audit trails, and a HIPAA BAA if the VSAN contains protected health information. Platforms that integrate with Salesforce, NetSuite, Microsoft 365, or Google Workspace can reduce manual data entry and help maintain a central archive.

Where the Completed VSAN Should Be Sent

After execution, route signed copies to the appropriate internal and external recipients and store a master copy in the organization repository.

  • Internal Approver: Legal or procurement retains a copy
  • Vendor: Provide vendor-signed copy for records
  • Accounts Payable: Attach for invoice matching
  • Archive: Store master file with audit trail

Typical Timelines and Processing Expectations

Use these timing guidelines to set SLAs internally and communicate expectations to vendors.

Internal Review SLA:

3–5 business days for approvals

Vendor Signature Window:
