Business Services Webex Services Agreement

This Business Services Webex Services Agreement (the Agreement) is entered into as of by and between:

Recitals

WHEREAS, Client desires to engage Provider to supply managed Webex services, related configuration, and support as described in this Agreement; and

WHEREAS, Provider represents that it has the expertise, personnel, and resources necessary to provide such services in accordance with industry standards and the terms set forth herein; and

WHEREAS, the parties desire to set forth their respective rights and obligations with respect to the provision and use of Webex services.

Scope of Work

Provider will deliver the services described below. The parties acknowledge that detailed technical tasks, schedules, and acceptance criteria are set forth in this Scope and may be appended by written amendment.

Payment Terms

Client will pay Provider the fees described below in consideration for the services rendered. All fees are payable in U.S. dollars unless otherwise agreed in writing.

Provider may suspend services for overdue amounts if Client fails to cure payment within the stated payment period following written notice. Any suspension will not relieve Client of its obligation to pay accrued fees.

Term and Termination

This Agreement commences on and, unless earlier terminated as provided herein, continues until .

Either party may terminate this Agreement for material breach by the other party if the breach remains uncured for thirty (30) days after written notice. Provider may immediately terminate or suspend services on written notice if Client materially breaches payment obligations.

Confidentiality

Each party (the Receiving Party) shall hold in confidence and shall not disclose to any third party any Confidential Information of the other party (the Disclosing Party) except as permitted by this Agreement. Confidential Information includes non-public technical, business, and pricing information disclosed in any form.

The Receiving Party shall: (a) use the same degree of care to protect Confidential Information as it uses to protect its own confidential information of like importance, but in no event less than reasonable care; (b) use Confidential Information only for the purposes of performing under this Agreement; and (c) limit access to those employees, contractors, and agents who have a need to know and who are bound by confidentiality obligations no less restrictive than those herein.

Confidential obligations do not apply to information that: (i) is or becomes generally available to the public through no fault of the Receiving Party; (ii) was in the Receiving Party’s possession without restriction prior to disclosure by the Disclosing Party; (iii) is rightfully obtained from a third party without breach of obligation; or (iv) is independently developed by the Receiving Party without use of the Disclosing Party’s Confidential Information. Confidential obligations survive termination for a period of three (3) years, except for trade secrets which shall be protected for as long as they qualify as trade secrets.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to its conflicts of law principles. Any dispute arising out of or relating to this Agreement shall be resolved through the courts of that state or federal courts located therein.

Entire Agreement

This Agreement, together with any exhibits or written amendments signed by both parties, constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior and contemporaneous agreements, proposals, or representations, whether written or oral. No modification of this Agreement will be effective unless in writing and signed by authorized representatives of both parties.

Limitation of Liability

Except for liabilities arising from willful misconduct, gross negligence, or breaches of confidentiality, neither party shall be liable to the other for consequential, incidental, special or punitive damages, and each party's aggregate liability for any claim arising under this Agreement shall not exceed the total fees paid by Client to Provider under this Agreement in the twelve (12) months preceding the event giving rise to liability.

Miscellaneous

Neither party may assign its rights or obligations under this Agreement without the prior written consent of the other party, except that Provider may assign to an affiliate or in connection with a sale of substantially all of its assets. Notices shall be in writing and delivered to the addresses set forth above or to such other address as a party designates in writing.
