What the Business Services Wise Agreement Is and when it's used

The Business Services Wise Agreement is a written contract that sets the terms between a service provider and a business client for recurring or one-time professional services. It defines scope, deliverables, payment terms, timelines, confidentiality, liability allocation, and termination rights. Organizations use it to reduce ambiguity about responsibilities, set invoicing and dispute procedures, and document the commercial relationship for compliance and recordkeeping. The agreement can be executed on paper or electronically when parties show intent, consent, attribution, and reproducible records in line with U.S. e-signature law.

Why a clear Business Services Wise Agreement matters

A concise, well-structured agreement reduces disputes, clarifies payment and scope, and supports regulatory compliance for business transactions.

Why a clear Business Services Wise Agreement matters

Who typically prepares and signs this agreement

Parties should involve the appropriate mix of procurement, legal, and finance before final signature to avoid post-execution disputes.

  • Procurement and purchasing teams manage vendors and contract terms for recurring services and reviews.
  • Finance and accounts payable ensure payment terms, invoicing schedules, and tax-related provisions are correct.
  • Legal and compliance review liability, IP, confidentiality, indemnities, and governing law provisions.

Typical signers and their responsibilities

Brian Fitzgibbons COO

As an executive signer, the COO approves operational terms, confirms resource availability, and accepts performance obligations. The COO typically coordinates with procurement and finance to align contract milestones with internal delivery schedules and cash-flow projections.

Kodi-Marie Evans Director

A director-level signer often validates integration and systems requirements, confirms technical acceptance criteria, and ensures the statement of work aligns with enterprise systems. They coordinate internal stakeholders for testing, deployment, and post-implementation support obligations.

Core components to include in the agreement

A professional Business Services Wise Agreement should be comprehensive but clear, covering the parties, services, timelines, payments, liability limits, and mechanisms for changes or termination.

Parties

Identify legal entity names, business type, and contact information for contracting parties to ensure enforceability and proper service of notices.

Scope of Work

Describe services in measurable terms, deliverables, acceptance criteria, and any excluded activities to prevent scope creep and payment disputes.

Compensation

State fees, billing schedules, expenses, invoicing requirements, and any late-payment interest or withholding obligations.

Term and Termination

Specify start date, renewal mechanics, termination for convenience or cause, notice periods, and post-termination obligations.

Confidentiality

Include nondisclosure obligations, permitted disclosures, data handling expectations, and duration of confidentiality protections.

Liability and Indemnities

Limitations of liability, indemnification scope, insurance requirements, and any carve-outs for gross negligence or willful misconduct.

Technical considerations for e-signature and eSubmissions

  • File formats: Support for PDF, DOCX, and editable templates is important.
  • Integrations: Look for connectors with Salesforce, NetSuite, Microsoft 365, and Google Workspace.
  • Authentication: Options should include email, SMS, and advanced verification for higher-risk agreements.

Practical tips to avoid common drafting errors

Small drafting choices reduce friction during execution and lower legal and administrative costs over the contract lifecycle.

Use precise scope language
Describe deliverables, acceptance criteria, and excluded work in measurable terms. Attach exhibits or SOWs to avoid ambiguity and disputes over performance.
Standardize payment terms

Confirm signatory authority
Require signers to indicate capacity and title and, for organizations, confirm board or delegated authority to bind the entity before signing.
Archive signed contracts
