Recitals

WHEREAS, Service Provider is duly organized and authorized to provide business consulting, technical, and related professional services to commercial clients; and

WHEREAS, Client desires to engage Service Provider to perform the services described in this Agreement and Service Provider agrees to perform such services subject to the terms and conditions herein; and

WHEREAS, the parties intend that this Agreement set forth the full understanding of the parties regarding the Services and compensation.

Scope of Work

Payment Terms

Unless otherwise agreed in writing, Client shall reimburse Service Provider for reasonable out-of-pocket expenses incurred in connection with the performance of the Services provided invoices and supporting documentation are submitted.

Term and Termination

This Agreement commences on: and continues until: unless earlier terminated in accordance with this Section.

Either party may terminate this Agreement for material breach that remains uncured for the notice period set forth above. Either party may also terminate for convenience upon providing the notice period in writing. Upon termination, Client will pay Service Provider for Services performed and non-cancellable obligations incurred through the effective date of termination.

Confidentiality

Each party will hold in confidence all Confidential Information of the other party and will not disclose such information to third parties except to employees, contractors or advisors who have a need to know and who are bound to confidentiality obligations at least as protective as those set forth herein. Confidential Information does not include information that is (a) generally available to the public other than by a breach of this Agreement, (b) known to the receiving party prior to disclosure, (c) rightfully received from a third party without restriction, or (d) independently developed by the receiving party without use of the disclosing party's Confidential Information.

Upon termination or written request, the receiving party shall return or destroy all tangible Confidential Information and certify such destruction upon request. Breach of confidentiality may give rise to injunctive relief in addition to any other remedies.

Independent Contractor; Insurance

Service Provider is an independent contractor and not an employee or agent of Client. Service Provider is responsible for all taxes and insurance related to its performance. Service Provider shall maintain insurance as appropriate to the Services and upon request shall provide proof of insurance to Client.

Representations; Warranties; Indemnity

Each party represents that it has the authority to enter into this Agreement. Service Provider warrants that Services will be performed in a professional manner consistent with industry standards. Client shall indemnify and hold harmless Service Provider against claims arising from Client-provided materials, instructions or use of deliverables in a manner not contemplated by this Agreement.

Governing Law; Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of: without regard to conflict of law principles. The parties will attempt in good faith to resolve disputes through negotiation prior to initiating any litigation or arbitration.

Entire Agreement; Amendment

This Agreement, including any attached schedules or exhibits, constitutes the entire agreement between the parties concerning the subject matter and supersedes all prior agreements and understandings, written or oral. Any amendment or waiver must be in writing and signed by both parties.

Miscellaneous

If any provision of this Agreement is held invalid or unenforceable, the remaining provisions will remain in full force and effect. Neither party may assign this Agreement without the prior written consent of the other, except that Service Provider may assign to an affiliate or in connection with a merger or sale of substantially all assets.

Notices under this Agreement shall be in writing and delivered to the addresses set forth above or to such other address as a party designates by notice in accordance with this paragraph.
