Either party may terminate this Agreement for convenience upon written notice to the other party delivered not less than prior to the effective termination date. Termination for cause is permitted where the other party materially breaches this Agreement and fails to cure such breach within thirty (30) days after receipt of written notice specifying the breach.

CONFIDENTIALITY

Each party (the "Receiving Party") shall maintain in confidence all non-public, confidential or proprietary information disclosed by the other party (the "Disclosing Party") in connection with this Agreement ("Confidential Information"). Confidential Information does not include information that: (a) is or becomes publicly available through no fault of the Receiving Party; (b) was rightfully received from a third party without restriction; or (c) is independently developed by the Receiving Party. The Receiving Party shall not use Confidential Information for any purpose other than performing its obligations under this Agreement and shall not disclose it to third parties except to employees, contractors, or advisors who have a need to know and are bound by confidentiality obligations at least as protective as those herein. Upon termination, the Receiving Party shall promptly return or destroy Confidential Information as requested by the Disclosing Party.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflicts of law principles. The parties submit to the exclusive jurisdiction of the state and federal courts located within that state for the resolution of disputes arising under this Agreement.

ENTIRE AGREEMENT

This Agreement, including any exhibits or attachments hereto that are signed by both parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings, negotiations and discussions, whether oral or written. No amendment or waiver of any provision of this Agreement shall be effective unless in writing and signed by authorized representatives of both parties.

MISCELLANEOUS PROVISIONS

The relationship of the parties is that of independent contractors. Nothing in this Agreement shall be construed to create a partnership, joint venture, agency or employer-employee relationship. If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall continue in full force and effect.
