What the Business Services XPPS Agreement Is

The Business Services XPPS Agreement is a commercial contract used to set terms between a service provider and a business client for recurring or project-based professional services. It typically defines scope of work, deliverables, schedules, payment terms, warranties, intellectual property ownership, confidentiality, indemnities, and termination rights. Exhibits often attach a Statement of Work, pricing schedule, and acceptance criteria. When parties consent, the agreement may be executed electronically and retained as an auditable record under applicable U.S. e-signature laws.

Why a Clear Business Services XPPS Agreement Matters

A precise agreement reduces ambiguity about deliverables and payment, allocates risk through warranties and indemnities, and documents remedies for breach. It supports compliance with industry rules and provides an auditable record suitable for electronic execution and retention.
