Provide notice period, cure window, and effective termination date.

Tax Reporting:

Provide W-9 upon payer request; 1099-NEC deadlines Jan 31 for reporting.

Consequences and penalties of errors

Incorrect Signatory: May render agreement unenforceable
Missing W-9: Triggers 24% backup withholding
Late 1099 Filing: Penalties $60–$330 per form
Unauthorized Data Access: HIPAA violation risk and fines
Scope Ambiguity: Leads to disputes and litigation
Improper Notarization: May delay recording or enforcement

Common preparation mistakes to avoid

  • Using abbreviated or trade names instead of the legal entity name can cause payment and enforcement problems when matching corporate records and bank accounts.
  • Vague scope language such as 'as needed' without measurable acceptance criteria frequently leads to disputes over deliverables and payment timing.
  • Omitting referenced attachments, exhibits, or SOWs creates gaps in obligations; always attach final exhibits and label versions clearly.
  • Relying on email-only signer identity without stronger authentication increases risk of repudiation and may complicate enforcement in higher-value matters.

Practical tips to reduce risk and speed processing

Adopt the following practices to improve accuracy, avoid disputes, and simplify auditability when using Business Services YouTech.

Use clear acceptance criteria
Define measurable acceptance tests for deliverables, include review windows, and document rework procedures. Clear criteria prevent subjective disagreements and tie payments to verifiable outcomes.
Confirm signer authority and identity
Verify that signers have delegated authority, capture title and contact details, and use stronger authentication for high-value agreements to reduce repudiation risk.
Maintain version control and exhibit attachments
Number versions, attach final SOWs, and reference exhibits explicitly. Store executed exhibits with the main agreement to prevent later claims of missing attachments.
Preserve a complete audit trail
Capture timestamps, IP addresses, and sequence of actions for every signer. Retain exportable certificates of completion to support enforceability and regulatory audits.
