What the Business Sesame Template Is and When to Use It

The Business Sesame Template is a standardized business agreement framework designed to collect essential party information, define scope, and record mutual obligations for routine commercial transactions. It bundles consistent contract language, fillable fields for names, dates, consideration, and signature blocks, and is formatted to support electronic execution and audit trails. Organizations use this template to reduce drafting variance, accelerate approvals, and maintain a record suitable for eSignature platforms and compliant storage while preserving flexibility for minor custom clauses.

Why a Consistent Template Matters for Businesses

Using a consistent Business Sesame Template reduces drafting errors, shortens turnaround, and creates a reliable record for dispute resolution. It supports enforceability under the ESIGN Act (15 U.S.C. ch. 96) and UETA where applicable, provided parties demonstrate intent, consent, attribution, and retention.

Why a Consistent Template Matters for Businesses

Who Typically Completes This Template

The Business Sesame Template is used by people who manage recurring contracts or standard vendor/customer exchanges and need a repeatable, auditable form.

  • Small business owners and operators who execute recurring services or sales agreements, seeking a consistent contractual baseline that is easy to sign electronically.
  • In-house legal and procurement teams managing standardized terms, approvals, and template governance across departments to reduce negotiation time.
  • Human resources or operations staff who onboard vendors, consultants, or service providers and require a clear, signed record of responsibilities and payment terms.

The template reduces variation between contracts and helps separate negotiable commercial terms from administrative metadata needed for filing and recordkeeping.

Representative Users and Roles

Brian Fitzgibbons, COO

An operational executive who needs a repeatable, mobile-friendly contract format that nonlegal staff can complete and return quickly while preserving a verifiable audit trail for compliance and payments.

HR Director, Education

An HR leader who uses templated agreements for vendor services and enrollment-related contracts, focusing on standard clauses, clear signatures, and consistent retention for audits and accreditation reviews.

Key Sections Every Professional Business Sesame Template Should Include

A professional template combines administrative metadata, core contract terms, and execution elements so it can be routed, signed, and stored with minimal downstream processing.

Clear legal names, entity types and contact details for each party, including remit-to address and taxpayer identification where required for payments and reporting.

Term and Effective Date

Consideration and Payment Terms

Specific payment amounts or billing formulas, due dates, late-payment interest, and any retainers or escrow arrangements clearly specified to reduce disputes.

Confidentiality and Data Handling

A clause describing handling of confidential information and any data protection obligations, including HIPAA or FERPA addenda where applicable.

Execution block with printed name, title, date, and space for notarization or witness lines when required by state law or industry practice.

Common Preparation Mistakes to Avoid

  • Using informal or abbreviated legal names that do not match formation documents or TIN records, which delays payment processing and verification.
  • Leaving the effective date blank or entering inconsistent dates across exhibits, creating uncertainty about when obligations and warranties begin.
  • Failing to attach or reference required exhibits and schedules, which leads to disputes over deliverables and performance standards.
  • Allowing unauthorized signers to execute documents without documented delegation, increasing risk of unenforceability or internal repudiation.

Penalties and Risks from Incorrect or Late Filings

Incorrect 1099: IRC §6721 penalties apply
Late 1099: $60–$330 per form
Intentional Disregard: $660+ per form
I-9 Violations: $281–$2,789 per violation
HIPAA Breach: Civil and corrective actions
