WHEREAS, Service Provider represents that it has the professional qualifications, experience, and ability to perform such services; and

WHEREAS, the parties wish to set forth the terms and conditions under which the session will be conducted.

Payment Terms

Invoicing: Service Provider will submit invoices in accordance with the payment schedule. Payment is due within days of invoice date.

Late Fee: Late payments shall incur a fee of per month or the maximum permitted by law, whichever is less.

Either party may terminate this Agreement for convenience upon days' prior written notice to the other party. Either party may terminate immediately for material breach if the breach is not cured within 10 days after written notice of such breach.

Confidentiality

Definition: "Confidential Information" means non-public information disclosed by one party to the other that is designated as confidential or that reasonably should be understood to be confidential given its nature.

Obligation: Each party shall hold the other's Confidential Information in strict confidence, shall not disclose it to any third party except as expressly permitted by this Agreement, and shall use it only to perform obligations under this Agreement. The receiving party shall apply at least the same degree of care to protect Confidential Information as it applies to its own confidential materials, but in no event less than reasonable care.

Exceptions: Confidential Information does not include information that is or becomes publicly available without breach, was rightfully received from a third party without obligation of confidentiality, or is independently developed.

Duration of Confidentiality Obligations: Confidentiality obligations shall continue for years following termination or expiration of this Agreement.

Intellectual Property and Deliverables

Ownership: Unless otherwise agreed in writing, Service Provider grants Client a non-exclusive, non-transferable license to use deliverables produced solely for Client in connection with the intended business purpose. Pre-existing tools, methodologies, templates, and intellectual property of Service Provider remain the sole property of Service Provider.

Liability, Indemnification, and Insurance

Indemnification: Each party shall indemnify, defend and hold harmless the other party from third-party claims arising out of the indemnifying party's gross negligence, willful misconduct, or material breach of this Agreement.

Limitation of Liability: Except for liability arising from gross negligence, willful misconduct, or a party's breach of confidentiality or indemnification obligations, neither party shall be liable to the other for consequential, incidental, special or punitive damages. The aggregate liability of either party for any claim arising under this Agreement shall not exceed the total fees paid by Client to Service Provider under this Agreement.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of laws principles.

Entire Agreement and Amendment

This Agreement, including all exhibits and attachments, constitutes the entire agreement between the parties with respect to its subject matter, and supersedes all prior and contemporaneous agreements, proposals, and communications. Any amendment or modification to this Agreement must be in writing and signed by authorized representatives of both parties.

Miscellaneous

Notices shall be in writing and delivered to the addresses listed above. If any provision of this Agreement is held unenforceable, the remaining provisions shall remain in full force and effect.
