BUSINESS SETTLEMENT AGREEMENT

This Business Settlement Agreement (the "Agreement") is made and entered into as of by and between:

Upon receipt of the full consideration described above, each party, on behalf of itself and its affiliates, agents, representatives, successors and assigns, hereby fully and forever releases and discharges the other party from any and all claims, demands, liabilities, obligations, causes of action, suits, debts, accounts and claims of every nature, whether known or unknown, suspected or unsuspected, which such releasing party ever had, now has, or may hereafter claim to have against the released party arising out of or related to the matters described in this Agreement, except as expressly reserved in this Agreement.

CONFIDENTIALITY

The parties agree that the terms, amounts, negotiation communications, and consideration of this Agreement are confidential and shall not be disclosed to any third party except (i) to each party's legal, financial or tax advisors who agree to be bound by confidentiality obligations, (ii) as required by applicable law, regulation or order of a court or governmental authority, or (iii) as otherwise required to effectuate the terms of this Agreement. Any permitted disclosure shall be limited to the minimum information necessary and the disclosing party shall provide prompt notice of required disclosures where lawful.

TERM AND TERMINATION

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the state of without regard to its conflict of law principles. REPRESENTATIONS, WARRANTIES & COVENANTS

Each party covenants not to institute or participate in any claim, suit or proceeding against the other party relating to matters released by this Agreement.

ENTIRE AGREEMENT

This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous negotiations, agreements, understandings, and representations, whether oral or written. No amendment or modification of this Agreement shall be effective unless in writing and executed by authorized representatives of both parties.

ENFORCEMENT; ATTORNEYS' FEES

If any legal action or other proceeding is brought for the enforcement of this Agreement, or because of an alleged dispute, breach, default or misrepresentation in connection with any of the provisions of this Agreement, the prevailing party shall be entitled to recover reasonable attorneys' fees and other costs and expenses incurred in that action or proceeding, in addition to any other relief to which such party may be entitled.

MISCELLANEOUS

If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall continue in full force and effect. Headings are for convenience only and do not affect interpretation. This Agreement may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one instrument. Facsimile or electronic signatures shall be deemed original signatures for all purposes.
