BUSINESS SETTLEMENT MEMO

WHEREAS

WHEREAS, a dispute has arisen between the parties concerning certain business activities, transactions, claims or obligations described as: (the Dispute); and

WHEREAS, the parties desire to fully and finally settle and resolve the Dispute upon the terms and conditions set forth in this Memo in order to avoid further expense and uncertainty of litigation or arbitration.

CONFIDENTIALITY

The parties agree that the terms, amount and existence of this Memo, and any non-public information exchanged in negotiation and performance (Confidential Information), shall be kept confidential and shall not be disclosed to any third party except as required by law, as necessary to enforce this Memo, or pursuant to the receiving party's professional advisors who are bound to confidentiality. Each party shall use no less than reasonable care to protect Confidential Information.

Notwithstanding the foregoing, a party may disclose Confidential Information (i) to enforce its rights under this Memo, (ii) as required by applicable law or regulation, or (iii) to its auditors, counsel, insurers or professional advisors provided they agree to be bound by confidentiality obligations substantially similar to those herein.

MUTUAL RELEASE AND COVENANTS

Upon receipt of the full Settlement Amount in accordance with the Payment Terms, each party shall release and forever discharge the other party and its affiliates from all claims, demands, liabilities and causes of action existing as of the Effective Date that arise out of or relate to the Dispute, except for obligations expressly set forth in this Memo. This release is a material inducement to the settlement.

The parties further covenant that they shall not make disparaging statements concerning the other party relating to the Dispute, provided that truthful statements required by law or made in legal proceedings are not a breach of this covenant.

The parties acknowledge that the mutual release described above is intended to be mutual and binding on execution and payment as provided.

REPRESENTATIONS AND WARRANTIES

Each party represents and warrants that it has full corporate or organizational power and authority to enter into this Memo, that the person signing on its behalf is duly authorized, and that entering into this Memo does not violate any agreement or obligation of that party.

GOVERNING LAW

This Memo shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of law principles. Exclusive venue for any litigation arising out of this Memo shall be the state or federal courts located in that jurisdiction unless the parties agree otherwise in writing.

ENTIRE AGREEMENT

This Memo constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior negotiations, proposals, representations, and agreements, whether written or oral. Any amendment or modification to this Memo must be in writing and executed by authorized representatives of both parties.

MISCELLANEOUS PROVISIONS

Execution: This Memo may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one and the same instrument. Facsimile or electronic signatures shall be treated as original signatures.

Enforcement Costs: The prevailing party in any action to enforce this Memo shall be entitled to recover its reasonable attorneys' fees and costs in addition to any other relief awarded.
