Payment Terms

Term and Termination

This engagement shall commence on Start Date: and shall continue until End Date: unless earlier terminated under this Agreement.

Either party may terminate this engagement for material breach if the breaching party fails to cure within the notice period set above. Upon termination, the Client shall pay for services performed and reasonable costs incurred through the effective date of termination. The Provider shall deliver all completed work and reasonable work in progress to the Client upon payment.

Confidentiality

Each party acknowledges that in the course of performance it may receive confidential information of the other party. "Confidential Information" includes non-public business information, financial data, trade secrets, and other information that is designated confidential or that, by its nature, should reasonably be understood to be confidential. Each party agrees to (i) hold Confidential Information in confidence, (ii) use it only for performance under this Agreement, and (iii) restrict disclosure to employees, agents, or contractors with a need to know and bound by confidentiality obligations no less restrictive than this clause.

Confidentiality obligations do not apply to information that is or becomes publicly available through no breach of this Agreement, was known prior to disclosure, is independently developed, or is rightfully obtained from third parties without restriction. A receiving party may disclose Confidential Information if required by law, provided it gives prompt notice to the disclosing party to permit a protective order or other remedy.

Governing Law and Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction specified below, without regard to conflict-of-law principles. Any dispute arising out of or relating to this Agreement shall be resolved by the parties through good faith negotiation; if unresolved within 30 days, either party may pursue remedies in the courts of the specified jurisdiction.

Entire Agreement; Amendments

This document, together with any exhibits or schedules executed by the parties, constitutes the entire agreement between the parties concerning the subject matter hereof and supersedes all prior agreements, understandings, and representations. No amendment or modification shall be effective unless in writing and signed by both parties.
