BUSINESS SHARE AGREEMENT

This Business Share Agreement ("Agreement") is entered into as of Effective Date: by and between:

Each party (the "Receiving Party") shall keep confidential and shall not disclose to any third party any non-public information received from the other party (the "Disclosing Party") in connection with this Agreement, including financial data, business plans, trade secrets, and proprietary materials ("Confidential Information"), except as required by law or with the Disclosing Party's prior written consent.

The Receiving Party shall protect Confidential Information with at least the same degree of care it uses to protect its own confidential information but not less than reasonable care. Exclusions: information that is or becomes publicly available through no fault of the Receiving Party, independently developed by the Receiving Party, or rightfully received without obligation of confidentiality is excluded.

REPRESENTATIONS AND WARRANTIES

The Company represents and warrants that: (a) it has full corporate power and authority to enter into this Agreement and to issue the Shares; (b) the Shares, when issued and delivered in accordance with this Agreement, will be validly issued, fully paid and non-assessable; and (c) there are no outstanding liens, encumbrances, or judgments affecting the Shares to be transferred.

The Shareholder represents and warrants that: (a) it has full power and authority to enter into this Agreement and to perform its obligations hereunder; (b) the execution and performance of this Agreement will not violate any agreement, law or order binding on the Shareholder; and (c) the funds used to purchase the Shares are not derived from illegal activity.

CLOSING; DELIVERY; TRANSFER MECHANICS

The closing of the transfer of the Shares (the "Closing") shall occur on the Closing Date: , or such other date as agreed in writing. At Closing, the Company shall deliver duly executed share certificates (or effect electronic transfer on the Company’s books) free of liens, and the Shareholder shall deliver the Purchase Price in cleared funds.

GOVERNING LAW
