Confidentiality

Each party agrees to keep confidential all non-public information obtained from the other party in connection with this Agreement ("Confidential Information"). The receiving party shall use the Confidential Information solely for purposes of performing its obligations under this Agreement.

The obligations in this section shall survive termination or expiration of this Agreement for years.

Indemnification

Each party shall indemnify, defend and hold harmless the other party from and against any losses, liabilities, claims, damages and expenses (including reasonable attorneys' fees) arising out of any breach of any representation, warranty or covenant made by the indemnifying party in this Agreement, except to the extent such losses arise from the gross negligence or willful misconduct of the indemnified party.
