TERM AND TERMINATION

This Agreement shall be effective as of and shall continue until unless earlier terminated in accordance with this Section.

Either party may terminate this Agreement for material breach by the other party if such breach remains uncured for the notice period specified above. Termination shall not release either party from obligations that by their nature survive termination, including payment obligations and confidentiality provisions.

CONFIDENTIALITY

Each party acknowledges that certain confidential and proprietary information may be disclosed in connection with the negotiation and performance of this Agreement. The receiving party shall: (a) hold all Confidential Information in strict confidence; (b) use Confidential Information solely for the purpose of performing obligations under this Agreement; and (c) not disclose Confidential Information to any third party except to its representatives who have a need to know and are bound by confidentiality obligations no less restrictive than those herein.

REPRESENTATIONS AND WARRANTIES

Each party represents and warrants that it has full power and authority to enter into this Agreement and to perform its obligations hereunder; that this Agreement constitutes a valid and binding obligation enforceable against it in accordance with its terms; and that the execution, delivery and performance of this Agreement do not and will not violate any agreement, instrument or law binding upon it.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of laws provisions. The parties submit to the exclusive jurisdiction of the courts located in that State for any disputes arising out of or relating to this Agreement.

ENTIRE AGREEMENT

This Agreement, together with any schedules and exhibits attached hereto, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, representations and understandings, whether written or oral. Any amendment must be in writing and signed by both parties.
