Business Sharing Agreement

This Business Sharing Agreement ("Agreement") is entered into as of Effective Date: by and between:

Parties

Recitals

WHEREAS, Provider operates certain business operations, proprietary processes, intellectual property and customer relationships that Provider is willing to share with Recipient to pursue joint business opportunities under the terms set forth herein; and

WHEREAS, Recipient desires to receive specified shared resources, support, and agreed business contributions from Provider and to allocate certain responsibilities, costs and revenues in accordance with this Agreement; and

WHEREAS, the parties desire to define the scope, payment terms, confidentiality obligations and other material terms governing their sharing arrangement.

Scope of Work

Provider will make available to Recipient the resources, personnel and assets described below for the purpose of conducting the shared business activities described herein. The parties agree to cooperate in good faith to perform the following tasks and to allocate responsibilities as indicated.

Payment Terms

Unless agreed otherwise in writing, all payments are net of taxes and payable in lawful currency. Each party is responsible for its own taxes arising from performance under this Agreement. Payments disputing in good faith shall not be subject to late fees for the disputed amount if notice of dispute is provided within ten (10) days of invoice receipt.

Either party may terminate this Agreement for cause upon material breach by the other party that remains uncured thirty (30) days after written notice specifying the breach, or immediately upon insolvency or appointment of a receiver. Either party may terminate for convenience upon written notice to the other party delivered not less than days prior to the effective date of termination.

Upon termination, the parties shall promptly settle outstanding payments, return or destroy confidential information as required by Section titled "Confidentiality", and cooperate to transfer active obligations in an orderly manner to minimize disruption to customers and third parties.

Confidentiality

Each party (the "Receiving Party") shall hold in confidence and not disclose to any third party, or use except for performance under this Agreement, any non-public business, technical or financial information provided by the other party (the "Disclosing Party"). Confidential information does not include information that: (a) is or becomes publicly available through no fault of the Receiving Party; (b) was rightfully known to the Receiving Party prior to disclosure as documented by written records; (c) is lawfully obtained from a third party without restriction; or (d) is independently developed by the Receiving Party without use of the Disclosing Party's Confidential Information.

The Receiving Party may disclose Confidential Information to its affiliates, employees, contractors and advisors who have a need to know and who are bound by confidentiality obligations at least as protective as those contained herein. The obligations under this section shall survive termination of this Agreement for a period of three (3) years, except that trade secrets shall be protected for so long as such information qualifies as a trade secret under applicable law.

Representations, Warranties and Indemnification

Each party represents and warrants that it has the full power and authority to enter into this Agreement and to perform its obligations hereunder. Each party shall indemnify, defend and hold harmless the other party from and against any third-party claims arising out of the indemnifying party's gross negligence, willful misconduct, or material breach of this Agreement, subject to limits and procedures agreed in writing by the parties.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflicts of law principles. The parties submit to the exclusive jurisdiction of the state and federal courts located within that State for any dispute arising out of this Agreement.

Entire Agreement and Amendments

This Agreement, including any attachments and written schedules executed by the parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings, representations and warranties, whether written or oral. No amendment or modification of this Agreement shall be valid unless in writing and signed by authorized representatives of both parties.

Miscellaneous

Neither party may assign its rights or delegate its obligations under this Agreement without the prior written consent of the other party, except to an affiliate or in connection with a merger, sale of substantially all assets, or change of control. Any attempted assignment without consent shall be void. Notices under this Agreement shall be given in writing to the principal addresses set forth above or to such other address as a party designates by notice.

If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. The parties acknowledge that monetary damages may be inadequate to remedy a breach of confidentiality and that injunctive relief may be appropriate.
