RECITALS

WHEREAS, Client desires to retain Service Provider to perform certain business services described in this Agreement and Provider has the capacity and expertise to provide such services in accordance with the terms set forth herein;

WHEREAS, the parties intend to set forth a concise statement of the scope, payment terms, confidentiality obligations, and other material terms for the provision of those services; and

NOW, THEREFORE, in consideration of the mutual covenants contained in this Agreement, the parties agree as follows.

Scope of Work

Provider shall perform the services described below. Provider shall perform such services in a professional and workmanlike manner consistent with industry standards and in compliance with applicable laws and regulations.

Payment Terms

Invoices issued by Provider are due according to the schedule above. Unless otherwise agreed in writing, Client shall pay invoiced amounts within days of receipt.

Late Payment: Unpaid amounts shall accrue interest at the lesser of (a) , or (b) the maximum rate permitted by law. Client shall also reimburse Provider for reasonable collection costs.

Term and Termination

Term: This Agreement commences on and continues until , unless earlier terminated as provided herein.

Termination for Convenience: Either party may terminate this Agreement for any reason upon days' prior written notice to the other party.

Termination for Cause: Either party may terminate immediately upon written notice if the other party materially breaches this Agreement and fails to cure such breach within 14 days after receipt of written notice specifying the nature of the breach.

Confidentiality

Definition and Obligations: "Confidential Information" means nonpublic information disclosed by one party to the other, whether marked confidential or not. Receiving party shall hold Confidential Information in strict confidence, not use it except to perform under this Agreement, and not disclose it to third parties except as required by law or to its employees and representatives who have a need to know and are bound by confidentiality obligations no less protective than those herein.

Exceptions: Confidential Information does not include information that: (a) is or becomes generally available to the public through no wrongful act of receiving party; (b) was already known by receiving party without restriction prior to disclosure; or (c) is independently developed by receiving party without use of disclosing party's Confidential Information.

Governing Law; Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the state of , without regard to conflicts of law principles. The parties agree that any dispute arising under this Agreement shall be resolved by binding arbitration if mutually agreed; otherwise, the parties may seek remedies in any court of competent jurisdiction in the selected state.

Entire Agreement: This Agreement, including any exhibits or attachments signed by the parties, constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior and contemporaneous agreements, representations, and understandings, whether written or oral.

Assignment: Neither party may assign its rights or delegate its obligations under this Agreement without the prior written consent of the other party, except that either party may assign to an affiliate or in connection with a merger, sale of substantially all assets, or change of control.

Severability: If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.
