BUSINESS SIGN BACK DOCUMENT

Recitals

WHEREAS, Client Name: is engaged in business and desires to obtain certain goods or services from the Provider described below; and

WHEREAS, Provider Name: has represented that it has the capacity and expertise to perform such goods or services and is willing to perform them under the terms set forth herein; and

WHEREAS, the parties desire to memorialize their agreement and confirm that returning a signed copy of this Business Sign Back Document constitutes acceptance of the terms specified herein, effective as of Effective Date: .

Scope of Work

The Provider shall perform the following services and deliverables in accordance with the specifications and timelines agreed by the parties. The description below constitutes the scope of work to which both parties are agreeing upon sign back:

Payment Terms

In consideration for the performance of the Scope of Work, the Client shall pay the Provider as set forth below. All amounts are stated in United States dollars unless otherwise indicated.

Invoices not disputed in good faith within ten (10) business days shall be deemed accepted. Overdue amounts shall accrue interest at the rate specified above and the Client shall also be responsible for reasonable collection costs incurred by the Provider.

Term and Termination

This Business Sign Back Document commences on Start Date: and, unless earlier terminated in accordance with this section, shall continue until End Date: .

Either party may terminate this agreement for convenience upon written notice delivered to the other party not less than days prior to the effective date of termination. Either party may also terminate immediately for material breach by the other party if such breach remains uncured for a period of thirty (30) days following written notice of the breach.

Confidentiality

For the purposes of this agreement, "Confidential Information" means any non-public information disclosed by one party to the other that is either designated as confidential or that, under the circumstances of disclosure, ought reasonably to be treated as confidential. Confidential Information excludes information that is or becomes publicly available without breach, that is rightfully received from a third party without restriction, or that is independently developed by the receiving party without use of the disclosing party's Confidential Information.

The receiving party shall: (a) use Confidential Information solely for the purposes of performing obligations hereunder; (b) protect Confidential Information with at least the same degree of care it uses to protect its own confidential information but in no event less than reasonable care; and (c) not disclose Confidential Information to any third party except to its employees, contractors or advisors who have a need to know and who are bound by confidentiality obligations no less restrictive than those set forth herein. These obligations shall survive termination for a period of years.

Governing Law

This Business Sign Back Document shall be governed by and construed in accordance with the laws of the State of , without regard to its conflicts of law principles. The parties submit to the exclusive jurisdiction of the state and federal courts located in that State for disputes arising out of or related to this agreement.

Entire Agreement
