Either party may terminate this Sign Off for convenience upon providing written notice to the other party at least days prior to termination. For material breach, the non-breaching party may terminate immediately after providing notice and a reasonable opportunity to cure where applicable.

CONFIDENTIALITY

Each party shall keep confidential all information disclosed by the other party that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure ("Confidential Information"). Confidential Information shall not include information that (i) is or becomes generally available to the public through no act or omission of the receiving party; (ii) was in the receiving party's lawful possession prior to the disclosure; (iii) is lawfully received from a third party without restriction; or (iv) is independently developed by the receiving party without use of the disclosing party's Confidential Information.

The obligations of confidentiality will survive termination for a period of years unless otherwise agreed in writing.
