Scope of Work

The Provider shall perform the following services and deliverables. Detailed description, acceptance criteria, milestones and any attachments are incorporated by reference as set forth below.

Payment Terms

In consideration for the services, the Client shall pay the Provider in accordance with the terms below. All payments shall be in lawful currency and shall be made by the schedule, method and to the payee designated by the Provider unless otherwise agreed in writing.

Invoices shall be due within days of receipt. Unpaid amounts past due shall accrue interest and charges as set forth below.

Term and Termination

This Agreement shall commence on: and shall continue until: unless earlier terminated in accordance with this section.

Either party may terminate this Agreement for material breach if the breaching party fails to cure such breach within days after written notice. Termination shall not relieve either party of obligations accrued prior to termination, including payment for accepted work.

Confidentiality

Each party shall maintain in confidence all confidential and proprietary information disclosed by the other party that is designated as confidential or that reasonably should be understood to be confidential. Confidential information shall not be used except to perform obligations under this Agreement and shall not be disclosed to third parties without prior written consent, except as required by law.

The confidentiality obligations shall survive termination of this Agreement for a period of months, except for trade secrets for which protection shall continue as provided by applicable law.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction selected by the parties: without regard to conflict of laws principles. The parties agree that any dispute arising out of this Agreement shall be subject to the exclusive forum selected herein if so specified.

Entire Agreement

This document, together with any attachments and written amendments executed by both parties, constitutes the entire agreement between the parties and supersedes all prior oral or written understandings, proposals or agreements related to the subject matter hereof. No amendment shall be effective except in a writing signed by authorized representatives of both parties.
