RECITALS

Either party may terminate this Agreement for cause if the other party materially breaches and fails to cure such breach within the notice period specified above. CONFIDENTIALITY

Each party acknowledges that, in connection with this Agreement, it may receive confidential or proprietary information of the other party ("Confidential Information"). Each party agrees to hold Confidential Information in confidence, to use it solely to perform its obligations under this Agreement, and not to disclose it to third parties except as required by law or with the prior written consent of the disclosing party. Confidential Information shall not include information that is or becomes publicly available through no breach of this Agreement, or that is independently developed without use of Confidential Information.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to its principles of conflicts of law.

ENTIRE AGREEMENT

This Agreement, including all attachments and accepted change orders executed in writing, constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior and contemporaneous agreements, proposals, and communications, whether written or oral. No modification of this Agreement will be effective unless in writing and signed by authorized representatives of both parties.
