BUSINESS SIGN OFFS

This Business Sign Off Agreement (the Agreement) is entered into as of Effective Date: by and between Client Name: and Provider Name: .

RECITALS

WHEREAS, Client desires to obtain certain services and deliverables described herein and Provider represents that it has the necessary experience and capacity to perform such services in a professional manner consistent with industry standards; and

WHEREAS, the parties intend to set forth the scope, schedule, payment terms and approvals required for Client to accept deliverables and render final sign off.

NOW, THEREFORE, in consideration of the mutual promises set forth below, the parties agree as follows.

SCOPE OF WORK

PAYMENT TERMS

Compensation: Client shall pay Provider a total fee of $ for the services and deliverables described above, subject to the payment schedule below.

Late Payment: Amounts not paid within days of invoice due date shall incur a late fee of % per month on the outstanding balance, compounded monthly, plus reasonable collection costs and attorneys' fees.

TERM AND TERMINATION

Term: This Agreement shall commence on Start Date: and shall continue until End Date: unless earlier terminated in accordance with this Section.

Termination for Convenience: Either party may terminate this Agreement for any reason upon written notice to the other party no fewer than days prior to the effective date of termination. Termination shall not relieve Client of payment obligations for services performed and accepted prior to termination.

Termination for Cause: Either party may terminate immediately upon material breach by the other party if such breach remains uncured for ten (10) business days following written notice. Upon termination for cause, the non-breaching party may pursue all available remedies at law or in equity.

CONFIDENTIALITY

Definition: "Confidential Information" shall mean any non-public information disclosed by one party to the other, whether oral, written or in electronic form, that is designated confidential or that reasonably should be understood to be confidential given its nature and the circumstances of disclosure.

Obligations: The receiving party shall (i) use Confidential Information solely for the performance of this Agreement; (ii) limit disclosure to those employees and subcontractors with a need to know and who are bound by confidentiality obligations no less protective than those in this Agreement; and (iii) employ reasonable security measures to protect Confidential Information from unauthorized use or disclosure.

Exclusions: Confidential Information does not include information that (a) is or becomes generally known to the public without breach of this Agreement, (b) is rightfully received from a third party without restriction, or (c) is independently developed by the receiving party without use of the disclosing party's Confidential Information.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to its conflicts of laws principles. Venue for any dispute arising out of this Agreement shall be the state and federal courts located in that state.

MISCELLANEOUS

Assignment: Neither party may assign its rights or delegate its obligations under this Agreement without the prior written consent of the other party, except that either party may assign to an affiliate or in connection with a merger, sale of substantially all assets, or similar transaction.

Severability: If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.

ENTIRE AGREEMENT

This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, negotiations and communications, whether oral or written. Any amendment or modification must be in writing and signed by authorized representatives of both parties.
