BUSINESS SIGN PACKAGE AGREEMENT

This Business Sign Package Agreement (Agreement) is entered into as of by and between:

WHEREAS

WHEREAS, Client desires procurement, fabrication, and installation of exterior and/or interior signage (the Services) for the premises described below; and

WHEREAS, Service Provider represents that it is experienced in the manufacture, permitting coordination, and installation of commercial signage and is willing to provide a Business Sign Package comprised of design, materials, fabrication, finishing, and installation services in accordance with the terms of this Agreement; and

WHEREAS, the parties agree to certain specifications, payment terms and responsibilities as set forth herein.

SCOPE OF WORK

Service Provider shall perform the following Services in a professional, workmanlike manner consistent with industry standards. Detailed scope, deliverables, and acceptance criteria are described below:

Service Provider is responsible for applying for and obtaining required permits
Client is responsible for applying for and obtaining required permits

If Service Provider is responsible, Provider shall submit complete permit-ready drawings and coordinate inspections as required by local authority having jurisdiction.

PAYMENT TERMS

Client shall pay Service Provider for the Business Sign Package in accordance with the prices and schedule set forth below.

All amounts are exclusive of taxes. Client shall pay all applicable sales, use, transfer, and similar taxes, unless Client provides a valid exemption certificate.

TERM AND TERMINATION

This Agreement commences on the Start Date and continues until completion of the Services or the End Date, unless earlier terminated in accordance with this section.

Either party may terminate for material breach if the breach remains uncured for the notice period above. Upon termination, Client shall pay for all work performed and materials ordered through the termination date.

CONFIDENTIALITY

Each party shall keep confidential and not disclose to any third party any proprietary or confidential information disclosed by the other party, except as required by law or to perform the Services. Confidential information does not include information that is publicly available without breach of this Agreement or lawfully obtained from a third party.

WARRANTIES AND INDEMNIFICATION

Service Provider warrants that the materials furnished will be free from defects in material and workmanship for a period of months from date of final acceptance. Remedies under this warranty are limited to repair or replacement at Service Provider’s option.

Each party shall indemnify, defend, and hold harmless the other party from third-party claims arising from its negligence, willful misconduct, or breach of this Agreement, except to the extent caused by the indemnitee.

CHANGE ORDERS

Any change to the Scope of Work shall be made only by written change order signed by both parties. Change orders shall specify adjustments to price, schedule, and any other affected terms.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the state of without regard to conflict of law principles.

ENTIRE AGREEMENT

This Agreement, together with any executed change orders and attached exhibits, constitutes the entire agreement between the parties regarding the Business Sign Package and supersedes all prior negotiations, representations, and agreements, whether written or oral.

MISCELLANEOUS

If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect. Neither party may assign this Agreement without the prior written consent of the other, except to a successor by merger or sale of substantially all assets.
