TERM AND TERMINATION

This Agreement commences on and, unless earlier terminated as provided herein, shall continue until .

Either party may terminate this Agreement for convenience upon providing written notice to the other party at least days prior to termination. Either party may terminate immediately for cause if the other party materially breaches this Agreement and fails to cure such breach within thirty (30) days after receipt of written notice specifying the breach.

CONFIDENTIALITY

"Confidential Information" means information disclosed by either party that is designated as confidential or that, by its nature, should reasonably be understood to be confidential. Each party agrees to: (a) hold Confidential Information in strict confidence; (b) use Confidential Information solely to perform obligations under this Agreement; and (c) not disclose Confidential Information to any third party except as required to perform the services or as required by law.

The obligations in this section shall not apply to information that is publicly available through no fault of the receiving party, already known to the receiving party without restriction at the time of disclosure, or independently developed without use of the disclosing party's Confidential Information. Upon termination, receiving party shall return or destroy Confidential Information as requested by disclosing party.

NOTICES

All notices under this Agreement shall be in writing and delivered to the addresses below by hand, certified mail, or overnight courier and shall be effective upon receipt.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of laws principles. Venue for any action shall be in a court of competent jurisdiction located within that State.

ENTIRE AGREEMENT

This Agreement, including any exhibits or attachments incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior or contemporaneous understandings, agreements, representations, and warranties, whether written or oral. Any modification to this Agreement must be in writing and signed by authorized representatives of both parties.

MISCELLANEOUS PROVISIONS

If any provision of this Agreement is held invalid or unenforceable, the remainder of the Agreement shall remain in full force and effect. Neither party may assign or transfer this Agreement without the prior written consent of the other party, except that Provider may assign to a successor in interest in connection with a merger or sale of substantially all assets.
