BUSINESS SIGNAGE AGREEMENT

This Business Signage Agreement (Agreement) is made and entered into as of by and between the parties identified below.

WHEREAS, Client seeks to install, display and maintain signage at the location(s) specified in this Agreement to identify and promote Client's business; and

WHEREAS, Contractor is engaged in the business of designing, fabricating, installing and servicing signage and represents that it has the expertise, personnel and insurance to perform the work described herein; and

WHEREAS, the parties desire to set forth the terms and conditions under which Contractor will perform signage work and Client will compensate Contractor.

Scope of Work

Contractor shall perform the work described in this Section and in any attachments incorporated by reference. The core elements of the Scope of Work include design, fabrication, permitting assistance, installation, testing and final acceptance.

Permits and Approvals

Responsibility for obtaining permits and approvals shall be allocated as follows. The responsible party shall prepare and submit all required permit applications and pay permit fees unless otherwise agreed in writing.

Payment Terms

Client agrees to pay Contractor the total compensation set forth below in accordance with the schedule. All sums are due in U.S. dollars and exclusive of applicable taxes unless otherwise stated.

Installation shall commence and be completed according to the schedule below. Contractor shall perform work in a professional manner in accordance with industry standards.

Term and Termination

This Agreement commences on and, unless earlier terminated in accordance with this Agreement, continues until .

Either party may terminate this Agreement for material breach if the breaching party fails to cure within days after written notice. Termination shall not relieve Client of the obligation to pay for work properly performed through the effective date of termination.

Maintenance, Repair and Removal

Responsibility for maintenance, routine repair and removal of the signage shall be as stated below. If removal is required at the end of the term, party responsible shall complete removal within the agreed timeframe and restore the mounting area to reasonable condition.

Insurance and Indemnity

Contractor shall maintain commercial general liability insurance with limits not less than those set forth below and name Client as an additional insured where required by applicable law or contract. Contractor shall indemnify and hold harmless Client from claims arising from Contractor's negligence, willful misconduct, or breach of this Agreement.

Confidentiality

Each party shall hold in confidence all non-public business information regarding the other party obtained in connection with this Agreement, shall not disclose such information to third parties except as expressly permitted herein, and shall use such information only for the purposes of performing this Agreement. Confidentiality obligations shall survive termination for a period of three (3) years.

Intellectual Property

Unless otherwise agreed in writing, Contractor retains ownership of design concepts and engineering documents created by Contractor. Upon full payment Contractor grants Client a perpetual, non-exclusive license to use the deliverables solely in connection with the specified signage and location. Any third-party artwork or trademarks provided by Client remain the property of Client and are used under license to Contractor for fabrication and installation.

Limitation of Liability

Except for liability arising from gross negligence or willful misconduct, neither party shall be liable to the other for consequential, incidental, special or punitive damages. Contractor's aggregate liability shall not exceed the total amounts paid by Client under this Agreement.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the state of without regard to its conflict of laws principles.

Entire Agreement

This Agreement, together with any attachments and signed work orders, constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior agreements and understandings, whether written or oral. Any modification must be in writing and signed by authorized representatives of both parties.
