Business Signature Agreement

This Business Signature Agreement (the Agreement) is made as of Effective Date: by and between Company Name: with principal address and Counterparty Name: with principal address .

Recitals

WHEREAS, Company Name possesses certain business capabilities and resources and is willing to provide services to Counterparty in accordance with the terms and conditions set forth in this Agreement; and

WHEREAS, Counterparty desires to engage Company Name to perform the services described herein and to pay Company Name for such services under the Payment Terms below; and

NOW, THEREFORE, in consideration of the mutual covenants and promises contained herein, and for other good and valuable consideration, the parties agree as follows.

Scope of Work

Payment Terms

Late Payment Charge: If any payment due under this Agreement is not received within days after the due date, the outstanding amount shall accrue interest at the rate of and Company Name may suspend performance until amounts due are paid in full. Parties acknowledge that such late fee is a reasonable pre-estimate of damages.

Term and Termination

Term: This Agreement shall commence on Start Date: and shall continue until End Date: unless earlier terminated in accordance with this Section.

Termination for Convenience: Either party may terminate this Agreement for any reason upon providing written notice to the other party at least days prior to the intended termination date. Termination shall not relieve either party of obligations accrued prior to the effective date of termination.

Termination for Cause: Either party may terminate this Agreement immediately upon written notice if the other party materially breaches any provision of this Agreement and fails to cure such breach within 30 days after receipt of written notice specifying the breach.

Confidentiality

Definition: "Confidential Information" means non-public business, technical or financial information disclosed by one party to the other, whether in writing, orally, or by inspection, that is designated as confidential or that a reasonable person would understand to be confidential given the nature of the information and the circumstances of disclosure.

Obligations: The receiving party shall (a) hold Confidential Information in confidence using the same degree of care it uses to protect its own confidential information but in no event less than reasonable care; (b) not disclose Confidential Information to any third party except to its employees, agents or contractors who have a need to know and are bound by obligations of confidentiality at least as protective as those set forth herein; and (c) use Confidential Information solely for the purposes of performing obligations under this Agreement.

Exceptions: Confidential Information does not include information that (i) is or becomes publicly available through no breach of this Agreement; (ii) was lawfully in the receiving party's possession prior to disclosure; (iii) is independently developed without use of the disclosing party's Confidential Information; or (iv) is rightfully obtained from a third party without restriction.

Return or Destruction: Upon termination or upon written request, the receiving party shall promptly return or destroy Confidential Information and certify in writing the return or destruction. The receiving party may retain one archival copy solely to the extent required by legal or regulatory requirements, provided that the confidentiality obligations remain in effect.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its choice-of-law principles. The parties submit to the exclusive jurisdiction of courts located in that State for disputes arising under this Agreement.

Miscellaneous

Assignment: Neither party may assign or delegate its rights or obligations under this Agreement without the prior written consent of the other party, except that Company may assign to an affiliate or in connection with a sale of substantially all of its business assets.

Independent Contractor: The parties agree that Company is an independent contractor and not an employee, agent, or partner of Counterparty. Company shall be responsible for all taxes and benefits due in connection with amounts paid to Company.

Entire Agreement

This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, negotiations and communications, whether written or oral. Any amendment or modification of this Agreement must be in writing and signed by authorized representatives of both parties.
