What a Business Signature Certificate Is

A Business Signature Certificate is a formal attestation that a named individual is authorized to sign on behalf of a business entity. It typically records the signer’s full legal name, job title, authority scope, effective date, and a statement of corporate authorization. Organizations use the certificate to demonstrate signature authority for contracts, banking transactions, vendor agreements, and regulatory filings. When executed electronically, the certificate should meet ESIGN (15 U.S.C. ch. 96) and applicable state UETA requirements to preserve enforceability and an audit trail.

Why the Certificate Matters for Business Transactions

A Business Signature Certificate prevents ambiguity about who may bind the company, reduces contract disputes, and streamlines third-party acceptance of signed documents. Clear authority records speed onboarding, banking, and procurement processes while supporting internal controls and audit requirements.

Why the Certificate Matters for Business Transactions

Typical users and roles for this certificate

Organizations and third parties rely on Business Signature Certificates to confirm signing authority quickly and consistently.

  • Corporate officers and executives: Officers who sign contracts or financial instruments on behalf of the entity.
  • Finance and treasury teams: Banks and payment processors require evidence of signing authority for account access.
  • Legal and compliance teams: Maintain the certificate to support audits, regulatory reviews, and contract disputes.

Use this list to identify which internal or external stakeholders should prepare, sign, or retain the certificate.

Essential elements to include in a professional certificate

Delivery and technical considerations for e-execution

Choose technical and delivery settings that preserve legal evidence while minimizing signer friction.

  • Document Formats: PDF, DOCX, and secured exports
  • Integrations: Connectors for Google Workspace and Microsoft 365
  • Security: TLS in transit; AES-256 at rest
