BUSINESS SIGNATURE PACKAGE

Parties and Effective Date

This Business Signature Package (the "Agreement") is entered into effective as of (the "Effective Date"), by and between:

Recitals

WHEREAS, Client seeks to engage Service Provider to perform certain business services described herein; and

WHEREAS, Service Provider has represented that it possesses the experience, personnel and capability to perform the services in a professional manner consistent with industry standards; and

WHEREAS, the parties desire to set forth their agreement in writing in accordance with the terms and conditions below.

Scope of Work

Services shall include those tasks, deliverables, milestones and acceptance criteria set forth in the Scope of Work. Service Provider shall perform the Services in a timely, professional and workmanlike manner consistent with applicable standards.

Payment Terms

Invoices shall be issued in accordance with the Payment Schedule and are due within days of invoice date. Payments not received by the due date shall accrue a late fee of on the outstanding balance, together with any costs of collection, including reasonable attorneys' fees.

All fees are exclusive of taxes. Each party shall be responsible for its own taxes and withholdings, unless otherwise required by law.

Either party may terminate this Agreement for convenience upon days' prior written notice to the other party. Either party may terminate immediately for material breach that remains uncured for thirty (30) days after written notice of breach.

Confidentiality

"Confidential Information" means any non-public information disclosed by one party to the other that is identified as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure. Each receiving party shall (i) hold Confidential Information in strict confidence, (ii) not disclose it to any third party except as permitted herein, and (iii) use the Confidential Information only to perform its obligations under this Agreement. This obligation of confidentiality shall continue for a period of years following termination or expiration of this Agreement, except that trade secrets shall be protected for as long as they qualify as trade secrets under applicable law.

Representations, Indemnification and Limitation of Liability

Each party represents that it has full power and authority to enter into this Agreement. Service Provider represents that services will be provided in a professional manner consistent with industry standards. Client represents that it has the right to engage Service Provider for the services described.

Each party shall indemnify, defend and hold harmless the other party from and against third-party claims arising from the indemnifying party's negligence, willful misconduct or breach of this Agreement. Neither party shall be liable for incidental, indirect, special or consequential damages, except for liability arising from gross negligence, willful misconduct, or obligations to indemnify.

Notices under this Agreement shall be delivered to the addresses set forth below by certified mail, courier, or email where receipt can be confirmed.

Governing Law and Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of without regard to its conflict of laws principles. The parties shall first attempt to resolve disputes through good faith negotiation; if unresolved, disputes shall be finally resolved by binding arbitration conducted in the county where the receiving party's primary place of business is located, unless the parties otherwise agree in writing.

Entire Agreement

This Agreement, including any attachments or exhibits executed by the parties, constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior and contemporaneous negotiations, understandings and agreements, whether written or oral. Any amendment must be in writing and signed by authorized representatives of both parties.
