WHEREAS, Client requires certain professional services and deliverables as further described in this Agreement; and

WHEREAS, Service Provider represents that it has the experience, personnel, and resources necessary to perform those services in accordance with the terms and conditions set forth herein; and

WHEREAS, the parties desire to set forth their respective rights and obligations in writing.

Scope of Work

Payment Terms

Unless otherwise agreed in writing, payments shall be made in United States Dollars and are due in accordance with the schedule above. Invoices submitted by Service Provider are payable within days of receipt.

Term and Termination

Either party may terminate this Agreement for convenience upon written notice to the other party delivered at least days prior to the effective termination date. Either party may terminate immediately for material breach that remains uncured for a period of thirty (30) days following written notice of such breach.

Confidentiality

Each party (the Recipient) shall keep confidential all non-public information disclosed by the other party (the Discloser) that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure (Confidential Information). Recipient shall not disclose Confidential Information except to its employees, contractors, or advisors who have a legitimate need to know and who are bound by confidentiality obligations at least as protective as those herein.

Confidential Information does not include information that: (a) is or becomes publicly known through no breach of this Agreement by Recipient; (b) is rightfully received from a third party without restriction; (c) is independently developed by Recipient without use of or reference to Discloser’s Confidential Information; or (d) is required to be disclosed by law, provided Recipient gives prompt notice to Discloser and cooperates to seek a protective order or confidential treatment.

The obligations of confidentiality shall continue for years following termination or expiration of this Agreement, except that trade secrets shall be protected for so long as they qualify as trade secrets under applicable law.

Representations, Warranties and Remedies

Each party represents and warrants that it has the full right, power and authority to enter into and perform this Agreement. Service Provider warrants that services will be performed in a professional and workmanlike manner in accordance with generally accepted industry standards. The exclusive remedies for breach of the warranty set forth in this paragraph shall be re-performance of the deficient services or, if re-performance is not commercially reasonable, refund of fees paid for the affected services.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction of without regard to its conflicts of law principles. The parties agree that the courts of that jurisdiction shall have exclusive venue for disputes arising out of this Agreement.

Entire Agreement

This Agreement, including all schedules and exhibits attached hereto, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, negotiations and understandings, whether written or oral. Any amendment or modification must be in writing and signed by duly authorized representatives of both parties.
