Recitals

WHEREAS, the parties intend to set forth the essential terms governing the requested services, payment, confidentiality and execution authority so that the Signing Party may provide an authorized signature for business purposes.

Payment Terms

Total Compensation: $ . Payment shall be made in accordance with the schedule below and conditioned upon delivery and acceptance of the applicable deliverables.

Late Payment: In the event any undisputed amount due is not paid within days of the invoice due date, the unpaid amount shall accrue interest at the lesser of (a) per month or (b) the maximum rate permitted by law. Reasonable collection costs, including attorneys' fees, shall be recoverable by the prevailing party.

Either party may terminate this request for convenience upon days' prior written notice to the other party. Termination for cause may be immediate where the breaching party fails to cure a material breach within thirty (30) days of written notice.

Confidentiality

Each party shall protect all non-public information disclosed by the other party that is marked or identified as confidential or that reasonably should be understood to be confidential ("Confidential Information"). Confidential Information shall not be used for any purpose other than performance under this request and shall not be disclosed to any third party except (a) to employees, agents or contractors on a need-to-know basis who are bound by confidentiality obligations at least as restrictive as those herein, or (b) as required by law, provided the disclosing party gives prompt notice and cooperates to seek protective measures.

Confidentiality obligations shall survive termination or expiration of this request for a period of three (3) years, except for trade secrets which shall be protected for as long as they qualify as trade secrets under applicable law.

Notices

All notices required or permitted under this request shall be in writing and shall be delivered to the addresses set forth above or to such other address as a party may designate in writing. Notice is effective upon personal delivery, three (3) days after deposit in certified mail, or one (1) business day after delivery to a nationally recognized overnight courier.

Governing Law; Entire Agreement

This request shall be governed by and construed in accordance with the laws of the State of without regard to conflict of laws principles. The parties submit to the exclusive jurisdiction of the state and federal courts located within that state for any dispute arising under this request.

Entire Agreement: This request, including any attachments and referenced underlying documents, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior oral or written agreements, understandings, or communications.
