Either party may terminate this Agreement for convenience upon written notice to the other party delivered at least days prior to the intended termination date. Either party may terminate for material breach if the breaching party fails to cure such breach within 30 days after receipt of written notice specifying the breach.

Confidentiality

Each party acknowledges that during the term of this Agreement it may obtain confidential or proprietary information of the other party ("Confidential Information"). Confidential Information does not include information that is or becomes publicly known through no wrongful act of the receiving party, or that is lawfully obtained from a third party without restriction. The receiving party shall: (a) use Confidential Information solely for the purposes of performing its obligations under this Agreement; (b) limit disclosure to employees, contractors, or agents who have a need to know and are bound by confidentiality obligations at least as protective as those herein; and (c) exercise at least the same degree of care to protect Confidential Information as it uses to protect its own confidential information, but in no event less than a reasonable degree of care.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction of without regard to conflicts of law principles. The parties consent to the exclusive jurisdiction and venue of the state and federal courts located in that jurisdiction for any litigation arising out of this Agreement.
