BUSINESS SIGNATURES DOCUMENT

This Business Signatures Document (the "Agreement") is entered into as of Effective Date: by and between Business A Name: ("Party A") and Business B Name: ("Party B").

WHEREAS, Party A is in the business of providing certain products and services and desires to engage Party B to perform specific services in accordance with the terms set forth herein;

WHEREAS, Party B represents that it has the experience, personnel, and resources necessary to perform the services described in this Agreement and will perform such services in a professional and workmanlike manner;

WHEREAS, the parties desire to set forth the terms and conditions under which Party B will provide services to Party A and the manner and timing of payment for those services.

Scope of Work

Party B shall perform the work described below in accordance with the specifications, schedules, and standards set forth in this Agreement. The Scope of Work may be amended only by a written instrument signed by authorized representatives of both parties.

Payment Terms

Party A shall pay Party B for services rendered in accordance with the following payment terms. Unless otherwise agreed in writing, payments are due in U.S. dollars and shall be made in full as set forth below.

Late payments shall accrue interest at the lesser of (a) a rate of percent per month or (b) the maximum rate permitted by applicable law. In addition, Party A shall reimburse Party B for reasonable collection costs and attorneys' fees incurred in collecting overdue amounts.

Term and Termination

This Agreement shall commence on Start Date: and shall continue until End Date: unless earlier terminated in accordance with this section.

Either party may terminate this Agreement for convenience upon written notice to the other party delivered at least days prior to the effective date of termination. Either party may terminate immediately for material breach by the other party that is not cured within thirty (30) days after written notice of such breach.

Confidentiality

Each party (the "Receiving Party") shall hold in strict confidence all non-public, proprietary, or confidential information disclosed by the other party (the "Disclosing Party") in connection with this Agreement ("Confidential Information"). The Receiving Party agrees not to use Confidential Information for any purpose other than performing under this Agreement and shall not disclose such information to any third party except to its employees, agents, or contractors who have a need to know and who are bound by confidentiality obligations no less restrictive than those contained herein. Confidential Information shall not include information that is (a) publicly known through no fault of the Receiving Party, (b) already known to the Receiving Party without restriction at the time of disclosure, or (c) independently developed by the Receiving Party without use of the Disclosing Party's Confidential Information.

The obligations of confidentiality shall survive termination of this Agreement for a period of .

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to its conflict of laws principles. The parties consent to the exclusive jurisdiction and venue of the state and federal courts located in that State for any dispute arising out of this Agreement.

Entire Agreement

This Agreement, together with any exhibits or schedules attached hereto and any written amendments executed by the parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, negotiations, and understandings, whether written or oral. No modification or waiver of any provision of this Agreement shall be effective unless in writing and signed by authorized representatives of both parties.

All notices required or permitted under this Agreement shall be in writing and delivered to the addresses below for each party. Notices shall be deemed given when delivered personally, by certified mail (return receipt requested), or by reputable overnight courier.
