SCOPE OF WORK

PAYMENT TERMS

Any invoice not paid within days of the invoice due date shall accrue interest at the rate of or the maximum rate permitted by law, whichever is lower. Late fees, collection costs and reasonable attorneys' fees incurred in collecting past-due amounts will be recoverable by the prevailing party.

TERM AND TERMINATION

This Agreement shall commence on Start Date: and shall continue in effect until End Date: unless earlier terminated in accordance with this section.

Either party may terminate this Agreement for convenience upon written notice to the other party delivered at least days prior to the intended termination date. Upon termination for convenience, Client shall pay Provider for all work performed and reasonable, non-cancellable commitments incurred prior to the effective date of termination.

Either party may terminate for material breach if the breaching party fails to cure such breach within thirty (30) days after receipt of written notice specifying the breach. Termination shall be without prejudice to any other remedies available at law or in equity.

CONFIDENTIALITY

For a period of years from the Effective Date, each party shall treat as confidential all non-public information disclosed by the other party that is marked or reasonably identified as confidential or that, by its nature, would reasonably be considered confidential. Confidential information shall not include information that: (a) was already known to the receiving party without restriction; (b) becomes publicly known through no wrongful act of the receiving party; (c) is rightfully received from a third party without restriction; or (d) is independently developed by the receiving party. Each party shall use the same degree of care to protect Confidential Information as it uses to protect its own confidential information, but in no event less than reasonable care.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to its conflict of laws principles.

ENTIRE AGREEMENT

This Agreement, including any documents incorporated by reference and any executed signback, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals and communications, whether written or oral. No amendment or modification of this Agreement will be effective unless in writing and signed by authorized representatives of both parties.
