This General Business Agreement ("Agreement") is made and entered into as of Effective Date: by and between:

WHEREAS

WHEREAS, Client desires to engage Contractor to perform certain business services as set forth in this Agreement and Contractor is willing to perform such services under the terms and conditions stated herein.

WHEREAS, the parties intend to set forth the scope, compensation, obligations, and other terms governing the engagement in a single written agreement that is binding upon execution.

SCOPE OF WORK

Deliverables, milestones, acceptance criteria, and any third-party dependencies shall be identified in the Scope of Work above. Any material change to the Scope of Work must be agreed in writing by both parties through a signed amendment.

PAYMENT TERMS

Payments are due within days of invoice unless otherwise stated in the Payment Schedule. Invoices shall reference the applicable deliverable or milestone.

Late payment shall incur a late fee of % per month or a flat fee of , whichever is greater, calculated from the date payment was due until paid in full. Acceptance of late payments by Contractor does not constitute a waiver of any other remedies.

TERM AND TERMINATION

This Agreement commences on Start Date: and continues until End Date: , unless earlier terminated in accordance with this section.

Either party may terminate this Agreement for convenience upon providing written notice at least days prior to the effective termination date. Either party may terminate for material breach if the breaching party fails to cure such breach within thirty (30) days after receipt of written notice.

Upon termination, Contractor shall deliver all work in progress and Client shall pay for all services performed and reimbursable expenses incurred through the effective date of termination, subject to any applicable set-off for defective work.

CONFIDENTIALITY

Each party (the "Receiving Party") shall keep confidential and shall not use or disclose any nonpublic, proprietary, or confidential information ("Confidential Information") disclosed by the other party (the "Disclosing Party") except as necessary to perform its obligations under this Agreement. Confidential Information includes business, technical, financial, and customer information, whether oral, written, or electronic.

The obligations in this section do not apply to information that (a) was rightfully known to the Receiving Party prior to disclosure; (b) is or becomes publicly known through no wrongful act of the Receiving Party; (c) is independently developed by the Receiving Party without use of the Disclosing Party's Confidential Information; or (d) is required to be disclosed by law, provided the Receiving Party gives the Disclosing Party prompt written notice and cooperates in any lawful effort to limit the disclosure.

The confidentiality obligations shall survive termination or expiration of this Agreement for a period of three (3) years, provided that trade secrets shall remain protected for so long as they qualify as trade secrets under applicable law.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to conflict of laws principles. The parties submit to the exclusive jurisdiction of the state and federal courts located in that State for any dispute arising under this Agreement.

REPRESENTATIONS AND WARRANTIES

Each party represents and warrants that it has the full corporate or individual power and authority to enter into and perform its obligations under this Agreement, and that the execution and performance of this Agreement will not violate any other agreement or any applicable law.

LIMITATION OF LIABILITY

Except for liability resulting from willful misconduct or gross negligence, each party's aggregate liability to the other for any claim arising out of or relating to this Agreement shall be limited to direct damages not to exceed the total amounts actually paid by Client to Contractor under this Agreement in the twelve (12) months preceding the event giving rise to the claim. Neither party shall be liable for special, incidental, consequential, or punitive damages.

ENTIRE AGREEMENT

This Agreement, including any attachments and written amendments signed by both parties, constitutes the entire agreement between the parties regarding the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, and communications, whether written or oral. Any modification must be in writing and signed by an authorized representative of each party.

NOTICES

Notices shall be in writing and delivered by hand, certified mail (return receipt requested), or overnight courier to the addresses provided above and shall be deemed given upon receipt.

MISCELLANEOUS

If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect and the invalid provision shall be reformed to the extent necessary to make it enforceable. No waiver of any breach shall constitute a waiver of any other or subsequent breach.
