BUSINESS SIGNED FORM

This General Business Agreement ("Agreement") is made effective as of by and between with principal place of business at ("Provider"), and with principal place of business at ("Client").

WHEREAS

WHEREAS, Provider is engaged in the business of providing professional goods and/or services and represents that it has the experience, personnel and resources to provide the services described herein; and

WHEREAS, Client desires to engage Provider to perform certain services under the terms and conditions set forth in this Agreement, and Provider is willing to perform such services in accordance with the terms and conditions contained herein.

NOW, THEREFORE, in consideration of the mutual covenants and promises contained in this Agreement, the parties agree as follows:

Invoices shall be payable within days of invoice receipt. Overdue amounts shall accrue interest at a rate of or the maximum rate permitted by law, whichever is lower. Client shall also reimburse Provider for reasonable collection costs and attorneys' fees incurred in collecting overdue amounts.

3. Term and Termination

This Agreement shall commence on and shall continue in effect until unless earlier terminated in accordance with this Section.

Either party may terminate this Agreement without cause upon days' prior written notice to the other party. Either party may terminate immediately for cause if the other party materially breaches this Agreement and fails to cure such breach within a reasonable period, not to exceed 30 days, after receipt of written notice specifying the breach.

4. Confidentiality

"Confidential Information" means any non-public information disclosed by one party to the other party that is marked confidential or would reasonably be understood to be confidential given the nature of the information and the circumstances of disclosure. The receiving party shall (a) hold Confidential Information in strict confidence, (b) not disclose it to any third party except as expressly permitted in this Agreement, and (c) use it solely to perform its obligations under this Agreement. The obligations set forth in this paragraph shall survive termination of this Agreement for years, except with respect to trade secrets, which shall be protected for as long as they remain trade secrets under applicable law.

5. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of laws principles. The parties consent to the exclusive jurisdiction of the state and federal courts located within that state for resolution of disputes arising under this Agreement.

6. Entire Agreement; Miscellaneous

This Agreement, including all exhibits and attachments expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior and contemporaneous agreements, proposals, and communications, whether written or oral. No amendment, modification or waiver of any provision of this Agreement shall be effective unless in writing and signed by authorized representatives of both parties.

If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. Neither party may assign this Agreement without the prior written consent of the other party, except that either party may assign to an affiliate or successor by merger or sale of substantially all assets provided that the assignee assumes the assigning party's obligations under this Agreement.
