RECITALS

WHEREAS, Client requires certain business services and deliverables described in this Agreement; and

WHEREAS, Contractor represents that it has the skill, expertise and capacity to perform the services under the terms set forth below; and

WHEREAS, the parties desire to set forth the terms and conditions under which Contractor will provide such services to Client.

SCOPE OF WORK

Contractor shall perform the services and deliverables described below in a professional and workmanlike manner consistent with industry standards. The scope may be amended only by written agreement signed by both parties.

PAYMENT TERMS

Client agrees to pay Contractor the fees set forth below in consideration for services rendered under this Agreement. Payments shall be made in U.S. dollars according to the schedule provided.

Late payments shall accrue interest at the lesser of 1.5% per month or the maximum rate permitted by applicable law, and Client shall be responsible for all reasonable collection costs, including attorneys' fees.

TERM AND TERMINATION

This Agreement shall commence on and continue until unless earlier terminated as provided below.

Either party may terminate this Agreement for convenience upon written notice to the other party at least days prior to the effective termination date. Either party may terminate for material breach if the breach is not cured within thirty (30) days after written notice specifying the breach.

CONFIDENTIALITY

Each party acknowledges that during the performance of this Agreement it may receive Confidential Information of the other party. "Confidential Information" includes non-public business, technical and financial information disclosed in any form. Each party agrees: (a) to hold Confidential Information in strict confidence and not disclose it to third parties except as required to perform this Agreement or by law; (b) to use Confidential Information solely to perform its obligations under this Agreement; and (c) to restrict disclosure to employees and contractors who have a need to know and are bound by confidentiality obligations no less protective than those herein.

Confidentiality obligations shall survive termination of this Agreement for a period of three (3) years, except with respect to trade secrets, which shall be protected for as long as such information qualifies as a trade secret under applicable law.

INTELLECTUAL PROPERTY

Unless otherwise agreed in writing, Contractor grants Client a non-exclusive, royalty-free license to use deliverables delivered under this Agreement for Client's internal business purposes. Contractor retains ownership of Contractor's pre-existing materials, tools and methodologies. Any transfer of ownership in custom deliverables must be explicitly set forth in writing and accompanied by full payment of fees due.

INDEMNIFICATION AND LIMITATION OF LIABILITY

Each party shall indemnify and hold harmless the other from third-party claims arising from its negligent acts or willful misconduct. Except for breach of confidentiality or willful misconduct, neither party's aggregate liability for direct damages shall exceed the total fees paid under this Agreement in the twelve (12) months preceding the claim. Neither party shall be liable for consequential, incidental, special or punitive damages.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of without regard to its conflict of laws principles. The parties consent to the exclusive jurisdiction of the state and federal courts located within that state for any dispute arising out of or relating to this Agreement.

ENTIRE AGREEMENT; AMENDMENT

This Agreement constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior and contemporaneous agreements, proposals and representations, whether written or oral. No amendment or modification shall be binding unless executed in writing by both parties.

SEVERABILITY; WAIVER

If any provision of this Agreement is held unenforceable, the remainder of this Agreement shall continue in full force and effect. Failure or delay by either party to exercise any right shall not constitute a waiver of that right.

NOTICES

All notices under this Agreement shall be in writing and delivered to the addresses set forth above or to such other address as the receiving party may designate in writing. Notices shall be effective upon receipt.
