BUSINESS SITE AGREEMENT

This Business Site Agreement (the Agreement) is entered into this day of , , by and between:

WHEREAS, Site Owner is the lawful owner or authorized manager of the real property and improvements located at (the Site); and

WHEREAS, Business Operator desires to use a portion of the Site to operate, install, or maintain business activities as described below, and Site Owner is willing to permit such use under the terms set forth in this Agreement; and

WHEREAS, the parties intend for this Agreement to set forth the scope, terms, compensation, and responsibilities related to the operation of Business Operator’s activities at the Site.

TERM AND TERMINATION

Term Commencement: This Agreement shall commence on and shall continue until unless earlier terminated in accordance with this Agreement.

Either party may terminate this Agreement for material breach if the breaching party fails to cure the breach within the notice period specified above. Termination for convenience by either party requires written notice as provided in the Notices section and payment of any amounts due through the effective date of termination.

INSURANCE AND INDEMNIFICATION

Business Operator shall, at its sole cost, obtain and maintain commercial general liability insurance, automobile liability (if applicable), and workers' compensation coverage as required by law, with limits reasonably acceptable to Site Owner. Business Operator shall provide certificates of insurance upon request.

Business Operator agrees to indemnify, defend and hold harmless Site Owner and its officers, agents and employees from and against any claims, liabilities, losses, damages or expenses (including reasonable attorneys' fees) arising out of the Business Operator’s use of the Site, except to the extent caused by Site Owner’s gross negligence or willful misconduct.

COMPLIANCE WITH LAWS

Business Operator shall at all times comply with, and obtain at its expense all permits, licenses and approvals required by, applicable federal, state, and local laws, regulations and codes for the activities conducted at the Site. Business Operator shall be solely responsible for violations arising from its use.

CONFIDENTIALITY

"Confidential Information" means all non-public, proprietary or commercially sensitive information disclosed by one party to the other in connection with this Agreement. Each party shall hold Confidential Information in confidence and shall not disclose it to any third party without prior written consent, except to the extent disclosure is required by law, court order, or regulatory authority, in which case the receiving party shall, where permitted, give prompt notice to the disclosing party to enable it to seek protective measures.

ASSIGNMENT; SUBLEASING

Business Operator shall not assign, transfer or sublet any rights or obligations under this Agreement without the prior written consent of Site Owner, which consent shall not be unreasonably withheld. Any attempted assignment without such consent shall be void.

NOTICES

All notices required or permitted under this Agreement shall be in writing and delivered to the addresses set forth below (or to such other address as a party designates by written notice).

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of laws principles.

ENTIRE AGREEMENT; AMENDMENT; SEVERABILITY

This Agreement, including any exhibits or attachments expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior negotiations, representations, or agreements, whether written or oral. No amendment shall be effective unless in writing and signed by both parties. If any provision of this Agreement is held unenforceable, such provision shall be reformed to the extent necessary to make it enforceable, and the remaining provisions shall remain in full force and effect.
