WHEREAS, Provider represents that it has the professional expertise, resources, and qualifications to perform the services described herein on the terms and conditions set forth in this Agreement.

NOW, THEREFORE, in consideration of the mutual covenants and agreements contained herein, the parties agree as follows:

Scope of Work

Provider shall perform the services and deliverables described below. The description, milestones, acceptance criteria, and any deliverable formats shall be as set forth in the Scope of Work field.

Payment Terms

Client shall pay Provider for the Services as follows. Unless otherwise stated, all amounts are denominated in U.S. dollars and are exclusive of taxes for which Client is responsible.

Invoices shall be issued by Provider upon completion of each invoice milestone and are payable within days of invoice receipt. Overdue amounts shall accrue interest at a rate of or the maximum rate permitted by law, whichever is lower.

Term and Termination

This Agreement commences on the Term Start Date: and, unless earlier terminated in accordance with this Agreement, continues until the Term End Date: .

Either party may terminate this Agreement for convenience upon days' prior written notice. In the event of a material breach, the non-breaching party may terminate if the breach remains uncured after days' written notice to the breaching party. Termination does not relieve Client of its obligation to pay for Services performed and expenses incurred through the effective date of termination; Provider shall deliver a final invoice for such amounts.

Confidentiality

Each party (the "Receiving Party") shall hold in strict confidence all non-public, proprietary, or confidential information disclosed by the other party (the "Disclosing Party") in connection with this Agreement ("Confidential Information"). The Receiving Party shall not use or disclose Confidential Information except as necessary to perform its obligations under this Agreement or as required by law. Confidential Information does not include information that: (a) is or becomes publicly known through no breach of this Agreement by the Receiving Party; (b) is rightfully received from a third party without restriction and without breach of an obligation of confidentiality; or (c) is independently developed by the Receiving Party without use of or reference to the Disclosing Party's Confidential Information.

The confidentiality obligations set forth herein shall remain in effect for years following the termination or expiration of this Agreement, unless a longer period is required by applicable law.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to its conflict of laws principles. The parties irrevocably submit to the exclusive jurisdiction of the state and federal courts located within that state for any disputes arising out of or relating to this Agreement.

Entire Agreement and Miscellaneous

This Agreement, including any exhibits and statements of work referenced herein, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, and communications, whether oral or written. No amendment shall be effective unless in writing and signed by authorized representatives of both parties. Neither party may assign this Agreement without the prior written consent of the other, except that Provider may assign to an affiliate or in connection with a merger or sale of substantially all of its assets.
