BUSINESS SLA ADDENDUM

This Business Service Level Agreement Addendum (the "Addendum") is entered into as of by and between Client Name: and Service Provider Name: . This Addendum modifies and supplements the Master Services Agreement dated .

WHEREAS

WHEREAS, Client requires certain services and performance commitments related to the Provider's business services; and

WHEREAS, Provider is willing to provide such services and performance levels under the terms and conditions set forth in this Addendum; and

WHEREAS, the parties intend that this Addendum govern service levels, measurement, remedies and reporting for the services described herein.

SCOPE OF WORK

SERVICE LEVELS AND METRICS

1. Availability: Provider shall use commercially reasonable efforts to provide a minimum monthly system availability of % ("Availability Target"), measured excluding Scheduled Maintenance as defined below.

MEASUREMENT, REPORTING AND SERVICE CREDITS

Provider will measure performance against the Service Levels and will provide reports on a basis to Client contact:

If Provider fails to meet an Availability Target in any monthly measurement period, Client shall be entitled to a service credit equal to of the prorated monthly service fee for each incremental breach, up to a cap of of the monthly fee. Service credits are Client's sole and exclusive remedy for Provider's failure to meet Service Levels.

PAYMENT TERMS

Late payments shall incur a late fee of on outstanding balances or the maximum allowed by law, whichever is lower. Service credits, if any, shall be applied against subsequent invoices upon validated claim by Client.

TERM AND TERMINATION

The term of this Addendum commences on and continues until unless earlier terminated in accordance with this Addendum or the Master Services Agreement.

Either party may terminate for convenience upon days' written notice. Either party may terminate for material breach that is not cured within days after written notice specifying the breach.

CONFIDENTIALITY

All information exchanged under this Addendum that is designated confidential or that by its nature is confidential shall be treated in accordance with the confidentiality provisions of the Master Services Agreement. Recipient will not use Confidential Information other than to perform its obligations under this Addendum and will return or destroy such information upon termination or request.

CHANGE CONTROL

LIMITATION OF LIABILITY & REMEDIES

Except for liability arising from willful misconduct or gross negligence, each party's aggregate liability for claims arising under or related to this Addendum shall be limited to the amount of fees paid by Client under this Addendum in the three (3) months preceding the event giving rise to liability. Service credits set forth herein are Client's exclusive monetary remedy for Provider's failure to meet Service Levels.

GOVERNING LAW

This Addendum shall be governed by and construed in accordance with the laws of without regard to conflict of laws principles.

ENTIRE AGREEMENT

This Addendum, together with the Master Services Agreement and any incorporated exhibits, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes any prior or contemporaneous agreements, negotiations and understandings, whether written or oral, relating thereto. Any amendment to this Addendum must be in writing and signed by authorized representatives of both parties.
