This General Business Agreement ("Agreement") is entered into as of by and between Client Name: and Service Provider Name: .

Recitals

WHEREAS, Client desires to retain Service Provider to perform certain business and social media-related services and the parties wish to set forth the terms under which such services will be provided; and

WHEREAS, Service Provider possesses the necessary experience, personnel, and expertise to perform the services described herein and agrees to provide such services to Client on the terms and conditions of this Agreement; and

WHEREAS, the parties intend that this Agreement allocate responsibilities, payment, confidentiality, and risk in connection with the services to be rendered.

Scope of Work

Service Provider will perform the work described below in a professional manner in accordance with industry standards. The following description is intended to capture the essential services to be performed; additional tasks may be added only by written amendment executed by both parties:

Payment Terms

Client shall pay Service Provider the compensation set forth below in exchange for the services performed under this Agreement.

In addition to any other remedies, overdue amounts shall accrue interest at the rate specified above and Client shall reimburse Service Provider for any collection costs, including reasonable attorneys' fees, incurred in collecting overdue amounts.

Term and Termination

This Agreement shall commence on and shall continue until unless earlier terminated in accordance with this Agreement.

Either party may terminate this Agreement for material breach by the other party that remains uncured for thirty (30) days after written notice specifying the breach; certain material breaches such as willful misconduct or misappropriation of confidential information may permit immediate termination.

Confidentiality

Each party (the "Receiving Party") shall hold in confidence and not disclose to any third party any Confidential Information of the other party (the "Disclosing Party"). "Confidential Information" means non-public information disclosed in writing, orally, or by inspection that the Disclosing Party designates as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure.

The Receiving Party may use Confidential Information only to perform its obligations under this Agreement. Confidential Information does not include information that (i) is or becomes generally available to the public other than by a breach of this Agreement, (ii) was already rightfully known to the Receiving Party without restriction, (iii) is independently developed by the Receiving Party without use of the Disclosing Party's Confidential Information, or (iv) is lawfully obtained from a third party without restriction.

The obligations in this section shall survive termination of this Agreement for a period of three (3) years, except that trade secrets shall be protected for so long as they remain trade secrets under applicable law.

Indemnification and Insurance

Each party agrees to indemnify, defend and hold harmless the other party from and against any claims, liabilities, damages, losses and expenses (including reasonable attorneys' fees) arising out of the indemnifying party's breach of this Agreement, negligence, or willful misconduct. Service Provider shall maintain commercially reasonable professional liability and general liability insurance during the Term and upon request shall provide evidence of such insurance to Client.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to its conflicts of law principles. The parties submit to the exclusive jurisdiction of the state and federal courts located in that State for any disputes arising out of or related to this Agreement.

Entire Agreement

This Agreement, including any exhibits or attachments expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior and contemporaneous agreements, proposals, negotiations and communications, whether written or oral. Any amendment to this Agreement must be in writing and signed by authorized representatives of both parties.

Miscellaneous

Neither party may assign its rights or delegate its duties under this Agreement without the prior written consent of the other party, except that either party may assign to an affiliate or in connection with a sale of substantially all of its assets. If any provision of this Agreement is held unenforceable, the remaining provisions will remain in full force and effect.
