BUSINESS SME LETTER

This Business SME Letter (the "Letter") is made effective as of by and between:

RECITALS

WHEREAS, Company wishes to retain a subject matter expert to provide specialized business advisory and technical expertise in connection with certain projects and initiatives, and SME has represented that SME possesses the experience, qualifications and resources necessary to perform such services; and

WHEREAS, the parties desire to set forth the terms and conditions under which SME will perform services for Company, including scope, compensation, confidentiality and the parties' respective obligations.

NOW, THEREFORE, in consideration of the mutual covenants contained herein, the parties agree as follows:

SCOPE OF WORK

SME shall provide professional advisory services as described below. The services shall include, without limitation, analysis, reporting, mentoring, attendance at meetings, preparation of deliverables, and reasonable communications required to complete the tasks described.

PAYMENT TERMS

Company shall compensate SME for the services as follows:

Unless otherwise stated in writing, SME shall submit invoices to Company in accordance with the payment schedule. Company shall pay undisputed invoices within days of receipt. Disputed amounts must be notified in writing within seven (7) days of receipt of the invoice.

TERM AND TERMINATION

Term: This Letter shall commence on and shall continue until unless earlier terminated pursuant to this section.

Either party may terminate this Letter for convenience upon days' prior written notice. Either party may terminate for material breach if the breaching party fails to cure such breach within days after receipt of written notice specifying the breach.

Termination shall not relieve Company of the obligation to pay for services performed and expenses incurred prior to the effective date of termination. Sections concerning confidentiality, indemnification, payment of accrued fees, and governing law shall survive termination.

CONFIDENTIALITY

For purposes of this Letter, "Confidential Information" means all non-public information disclosed by one party to the other, including proprietary business data, trade secrets, technical information, financial information, client lists, and other information reasonably understood to be confidential. Confidential Information does not include information that: (a) is or becomes generally known to the public other than by a breach of this Letter; (b) was rightfully in the receiving party’s possession prior to disclosure; (c) is rightfully received from a third party without restriction; or (d) is independently developed without use of the disclosing party’s Confidential Information.

The receiving party shall use Confidential Information only for the purposes of performing its obligations under this Letter, shall protect Confidential Information with at least the same degree of care it uses to protect its own confidential information, and shall not disclose Confidential Information to any third party except to employees, contractors or advisors who have a need to know and are bound by confidentiality obligations no less restrictive than those set forth herein. Upon termination or at the request of the disclosing party, the receiving party shall return or destroy all Confidential Information and certify in writing that such return or destruction has been completed.

SME acknowledges and agrees to be bound by the confidentiality obligations set forth above.

GOVERNING LAW

This Letter shall be governed by and construed in accordance with the laws of the State of without regard to conflict of law principles.

ENTIRE AGREEMENT

This Letter constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings, negotiations and discussions, whether oral or written. Any amendment or modification of this Letter must be in writing and executed by authorized representatives of both parties.
