BUSINESS SNL DOCUMENT

This General Business Agreement (the Agreement) is made and entered into as of the Effective Date below by and between:

RECITALS

WHEREAS, Client desires to retain Service Provider to perform certain business, consulting and related services described herein; and

WHEREAS, Service Provider represents that it has the expertise, personnel and resources necessary to perform the services in a professional manner in accordance with the terms and conditions of this Agreement; and

WHEREAS, the parties wish to set forth their respective rights and obligations with respect to such services in writing.

SCOPE OF WORK

Service Provider shall perform the work and provide the deliverables described below. The parties acknowledge that any change to the Scope of Work must be agreed in writing and signed by authorized representatives of both parties.

PAYMENT TERMS

Client shall pay Service Provider the fees set forth below in consideration for the performance of the Scope of Work. All fees are exclusive of taxes unless otherwise stated.

Invoices are due in accordance with the Payment Schedule. Client shall pay undisputed invoices within the time stated; undisputed amounts not paid when due shall accrue interest at the rate set forth above and Service Provider may suspend performance after providing written notice for nonpayment.

TERM AND TERMINATION

This Agreement commences on Start Date and, unless earlier terminated in accordance with this Agreement, continues until End Date or until completion of the Scope of Work, whichever occurs later.

Either party may terminate this Agreement for material breach that remains uncured after the notice period specified above, or immediately for cause where required by law. Termination shall not relieve Client of the obligation to pay for services performed and expenses incurred prior to the effective date of termination.

CONFIDENTIALITY

For purposes of this Agreement, Confidential Information means all information disclosed by a disclosing party to the receiving party, whether in writing, orally, by demonstration or observation, that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure.

The receiving party shall (a) use Confidential Information solely to perform its obligations under this Agreement; (b) restrict disclosure of Confidential Information to those employees, agents or subcontractors who have a need to know and are bound by confidentiality obligations at least as protective as those set forth herein; and (c) protect Confidential Information with at least the same degree of care it uses to protect its own confidential information, but in no event less than reasonable care. Confidential Information does not include information that is generally known to the public, independently developed without use of the other party's Confidential Information, or rightfully obtained from a third party without restriction.

The obligations in this section shall survive termination or expiration of this Agreement for a period of three (3) years, except that trade secrets and proprietary pricing or product roadmaps shall remain confidential for so long as they qualify as trade secrets under applicable law. The parties agree that a breach of this Section would give rise to irreparable harm and that the non-breaching party shall be entitled to seek injunctive relief in addition to any other remedies.

NOTICES

All notices required or permitted hereunder shall be in writing and delivered to the addresses below by certified mail, overnight courier, or personal delivery, and shall be effective upon receipt.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State specified below, without regard to conflict of law principles. Exclusive venue for any dispute arising out of or relating to this Agreement shall be in the state or federal courts located within that State.

ENTIRE AGREEMENT

This Agreement, together with any attachments and exhibits expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior negotiations, understandings and agreements, whether written or oral. No amendment or modification of this Agreement shall be effective unless in writing and signed by authorized representatives of both parties.

MISCELLANEOUS

If any provision of this Agreement is found to be invalid or unenforceable, the remainder of the Agreement shall remain in full force and effect. The parties are independent contractors and nothing in this Agreement shall create any partnership, joint venture, agency or employment relationship. Each party warrants that it has the right and authority to enter into this Agreement.
