The Company will deliver an accurate Statement of Financial Information, including but not limited to balance sheet, profit and loss statement, cash flow statement, accounts receivable and payable summaries, and supporting schedules as required by the Counterparty. Payment Terms

The Counterparty will compensate the Company for preparation, delivery, and any agreed analysis services as set forth below.

Late payments will accrue interest at a rate of from the due date until paid in full. In addition, the Counterparty is responsible for reasonable collection costs and attorneys' fees incurred by the Company in enforcing payment.

Term and Termination

This Agreement commences on Start Date: and continues until End Date: , unless earlier terminated in accordance with this section.

Either party may terminate this Agreement for convenience upon written notice delivered at least days prior to the effective termination date. Either party may terminate immediately for material breach that remains uncured for a period of 15 days following written notice of such breach, or immediately for insolvency or appointment of a receiver.

Confidentiality

"Confidential Information" means non‑public business, financial or technical information disclosed by one party to the other in connection with this Agreement. The recipient will (a) maintain Confidential Information in strict confidence, (b) use Confidential Information solely to evaluate and perform under this Agreement, and (c) not disclose Confidential Information to third parties except to permitted representatives who have a need to know and who are bound by confidentiality obligations at least as protective as those herein. Confidential Information does not include information that is publicly available through no fault of the recipient or independently developed by the recipient without use of the disclosing party's Confidential Information.

Upon written request or termination, the recipient will return or destroy Confidential Information and certify in writing that such action has been completed, except to the extent retention is required by applicable law or bona fide archival record retention policies.

Representations; Indemnity

Each party represents that it has the corporate power and authority to enter into this Agreement and to perform its obligations hereunder. The Company represents that all financial information provided will be true, accurate and complete in all material respects as of the dates indicated. The Company will indemnify and hold the Counterparty harmless from third‑party claims arising from the Company's intentional misrepresentation or fraudulent financial statements.

Governing Law

This Agreement will be governed by and construed in accordance with the laws of the jurisdiction identified below without regard to its conflicts of law principles. The parties submit to the exclusive jurisdiction of the courts located in that jurisdiction for disputes arising out of or relating to this Agreement.

Entire Agreement

This Agreement, including all exhibits and attachments, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, negotiations, representations and understandings, whether written or oral. Any modification or waiver must be in writing and signed by both parties.
