BUSINESS SOA DOCUMENT

This Business Statement of Account and Agreement (the Agreement) is entered into by and between the following parties on the Effective Date set forth below.

WHEREAS

WHEREAS, Client Name: has engaged Service Provider Name: to perform business services and to issue statements of account reflecting sums due for services performed and expenses incurred.

WHEREAS, the parties intend this Agreement to constitute the controlling statement of account and terms governing payment, performance, confidentiality, and dispute resolution for the services described herein.

WHEREAS, the parties desire to set forth the payment schedule, remedies for late payment, and other terms to ensure timely settlement of amounts reflected on the Statement of Account.

SCOPE OF WORK

The Service Provider shall provide the services and/or goods described below and on any attached itemization forming part of the Statement of Account. The scope shall include deliverables, milestones, and any specific acceptance criteria agreed by the parties.

PAYMENT TERMS

Client shall pay the amounts set forth in the Statement of Account in accordance with the schedule below. All payments shall be made in lawful currency of the United States unless otherwise agreed in writing.

Late payments shall incur a late fee and interest as provided below. If any invoice remains unpaid beyond the applicable due date, the Service Provider may suspend further performance until the account is brought current.

TERM AND TERMINATION

This Agreement shall commence on the Effective Date and, unless earlier terminated in accordance with this Agreement, shall continue until the completion of the services and final payment.

CONFIDENTIALITY

Each party (the Recipient) shall hold in confidence and shall not disclose to any third party any Confidential Information of the other party (the Discloser) except as required to perform under this Agreement or as required by law. "Confidential Information" includes non-public financial, pricing, technical, customer and other proprietary information disclosed in connection with the services or Statement of Account.

The Recipient shall use at least the same standard of care to protect Confidential Information as it uses to protect its own confidential information, but in no event less than reasonable care. Confidentiality obligations shall survive termination of this Agreement for a period of three (3) years, unless a longer period is required by applicable law or written agreement of the parties.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the state of without regard to its conflict of law principles. The parties agree that the state and federal courts located in that state shall have exclusive jurisdiction over any disputes arising out of or relating to this Agreement.

ENTIRE AGREEMENT

This Agreement, together with any attached Statement of Account, schedules and exhibits, constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior and contemporaneous agreements, proposals, understandings and communications, whether written or oral. No amendment or waiver shall be effective unless in writing and signed by both parties.

ADDITIONAL PROVISIONS

Remedies are cumulative and in addition to any other rights or remedies available at law or in equity. If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect. Headings are for convenience only and shall not affect interpretation.

By signing below, each party certifies that the information set forth in the Statement of Account is true, accurate and complete to the best of its knowledge and that the signatory is duly authorized to execute this Agreement on behalf of the respective party.
