Identification

Parties and Recitals

This Business Social Statutes Form (the "Form") is entered into by and between Party A: and Party B: (each a "Party" and collectively the "Parties") as of the Effective Date: .

WHEREAS, Party A operates a business and seeks to document, adopt, and implement social statutes and corporate social responsibility measures addressing labor standards, non-discrimination, community engagement, and ethical conduct; and

WHEREAS, Party B has the expertise to advise upon, draft, and assist with implementation and monitoring of such social statutes in accordance with applicable law and accepted industry practice; and

WHEREAS, the Parties desire to set forth the scope, duties, payment terms, confidentiality obligations, duration, and governing law applicable to the services and deliverables described in this Form.

Scope of Work

Party B shall perform the services described below and deliver any related documents, policies, and implementation plans (collectively, the "Services"). Party B will act as an independent contractor in performing the Services and will not be an employee of Party A.

Payment Terms

In consideration for the Services, Party A shall pay Party B the fees and reimbursements set forth below. All amounts are denominated in U.S. dollars unless otherwise agreed in writing.

Any undisputed amount not paid within days after the due date shall accrue interest at a rate of per month (or the maximum lawful rate if lower). Party A shall also reimburse Party B for reasonable collection costs and attorneys' fees incurred in recovering late payments.




Term and Termination

This Form commences on the Start Date: and continues until the End Date: unless earlier terminated in accordance with this Section.

Either Party may terminate this Form for convenience upon providing written notice to the other Party at least days prior to the effective termination date. Either Party may terminate immediately for material breach if the breaching Party fails to cure such breach within days after receipt of written notice of breach, or immediately for insolvency, bankruptcy, or unlawful conduct.

Confidentiality

"Confidential Information" means all non-public business, financial, personnel, technical, and other information disclosed by one Party ("Disclosing Party") to the other Party ("Receiving Party") in connection with this Form. The Receiving Party shall: (a) hold Confidential Information in strict confidence; (b) not disclose Confidential Information to any third party except as expressly permitted herein; and (c) use Confidential Information solely to perform its obligations under this Form. The Receiving Party may disclose Confidential Information to its employees, agents, and professional advisors on a need-to-know basis provided such persons are bound by confidentiality obligations at least as restrictive as those herein.

Confidential Information does not include information that: (i) is or becomes publicly available through no fault of the Receiving Party; (ii) was rightfully known to the Receiving Party prior to disclosure; (iii) is independently developed without use of the Disclosing Party's Confidential Information; or (iv) is rightfully obtained from a third party without restriction. The confidentiality obligations in this Section shall survive termination of this Form for a period of years.

Representations, Warranties and Compliance

Each Party represents and warrants that it has full corporate power and authority to enter into this Form and to perform its obligations. Each Party shall perform its obligations in compliance with all applicable laws, regulations and binding industry standards relating to labor, health and safety, non-discrimination, and environmental protection. Party B represents that its Services will be performed in a professional and workmanlike manner consistent with industry practice.

Indemnity and Limitation of Liability

Each Party shall indemnify, defend and hold harmless the other Party from and against third-party claims arising from the indemnifying Party's breach of this Form, negligent acts, or willful misconduct. Except for liability arising from willful misconduct or breach of confidentiality, neither Party shall be liable for consequential, incidental, punitive or exemplary damages. Total aggregate liability shall not exceed the total fees paid under this Form during the twelve (12) months preceding the claim.

Governing Law and Dispute Resolution

This Form shall be governed by and construed in accordance with the laws of the State of , without regard to its conflict of laws principles. The Parties agree to first attempt to resolve disputes through good faith negotiation. If unresolved, disputes shall be resolved by binding arbitration conducted in the governing state in accordance with the parties' selected arbitration rules.

Entire Agreement

This Form, together with any schedules or attachments expressly incorporated herein, constitutes the entire agreement between the Parties with respect to the subject matter and supersedes all prior oral or written representations, negotiations, or agreements. No amendment shall be effective unless in writing and signed by authorized representatives of both Parties.
