What the Business SOD Document Is

The Business SOD Document (SOD for Segregation of Duties) is a formal record that assigns and documents role-based responsibilities, approval authorities, and separation controls within an organization. It describes who may initiate, approve, review, and reconcile transactions or processes, and it records required checks to reduce fraud and operational errors. The document is commonly used in finance, procurement, and IT access governance to demonstrate internal control design and to support audits, compliance reviews, and management oversight across departments.

Why a Clear SOD Document Matters for Your Business

A concise Business SOD Document reduces control gaps, clarifies who is accountable for discrete tasks, and creates an auditable paper trail for internal and external reviews. It supports compliance with financial controls, risk management policies, and industry-specific requirements without replacing policy documents.

Why a Clear SOD Document Matters for Your Business

Who Typically Prepares and Uses an SOD Document

Teams that prepare, review, or rely on an SOD Document usually include finance, internal audit, HR, IT security, and operations.

  • Finance and accounting teams responsible for transaction approvals, reconciliations, and financial reporting oversight.
  • IT and security teams that manage access provisioning, role definitions, and segregation of system privileges.
  • Internal audit, compliance, and external auditors who review control design and test effectiveness.

Regular review by stakeholders ensures the SOD Document remains aligned with organizational changes and regulatory expectations.

Step-by-Step: Completing a Business SOD Document

Follow these steps in order to prepare, approve, and record the Business SOD Document consistently.

  • 01
Gather Inputs: Collect org chart, job descriptions, and existing policies.
  • 02
Map Roles: Assign discrete duties to specific titles or positions.
  • 03
Define Limits: Document approval thresholds and escalation paths.
  • 04
Obtain Signatures: Have authorized managers sign and date the document.

How an SOD Document Flows Through Your Organization

A clear review and routing workflow reduces delays and preserves the audit trail for any changes to duties or approvals.

  • Drafting: Responsible owner prepares initial SOD draft.
  • Review: Stakeholders verify role definitions and limits.
  • Approval: Authorized signers execute approvals.
  • Distribution: Finalized document is shared and stored centrally.

Core Elements to Include in a Professional SOD Document

A well-structured SOD Document is concise, auditable, and aligned with policy. Include these six elements to make it actionable.

Role Matrix

A table mapping roles to discrete tasks and responsibilities so reviewers can verify there are no conflicting access rights or approval overlaps.

Approval Thresholds

Clear monetary or decision limits tied to roles and escalation instructions for exceptions to standard authorization procedures.

Effective Dates

Start and end dates for each assignment to track temporary delegations and to support audit timing and change control.

Change Log

A dated history of amendments, approvers, and reason for change to preserve an auditable trail of role adjustments.

Signatures

Authorized manager signatures, printed names, titles, and dates to evidence agreement and ownership of responsibilities.

Cross-References

References to related policies, SOPs, and system access rules that implement the segregation requirements in practice.

Security and Compliance Considerations

Encryption: TLS 1.2/1.3 and AES-256
Audit Trail: Detailed signed-event logs
Access Controls: Role-based permissioning
HIPAA BAA: Available with BAA
SOC 2: SOC 2 Type II
Retention: Secure long-term storage

Risks and Consequences of an Incomplete or Incorrect SOD Document

Control Failures: Increased fraud risk
Audit Findings: Negative internal or external audit reports
Regulatory Exposure: Potential compliance violations
Operational Errors: Transaction processing mistakes
Reputational Harm: Loss of stakeholder trust
Remediation Costs: Time and expense to fix gaps

Common Preparation Mistakes to Avoid

  • Assigning broad or overlapping duties without clear limits, which creates ambiguous approval paths and control gaps during audits.
  • Failing to record effective dates and change history, making it impossible to determine which version applied at a specific time.
  • Using informal job titles rather than official role names, causing mismatches between system access and documented responsibilities.
  • Omitting required approvals or signatures, which can render the document noncompliant with internal policy or external audit requirements.

Practical Tips for Accurate and Efficient Completion

Adopt consistent templates and review cycles to keep SOD Documents current and auditable across the organization.

Use a standard table format
A consistent table for role-to-task mappings improves readability and simplifies automated comparison with system permissions during reviews.
Limit role granularity appropriately
Avoid unnecessary role fragmentation; group closely related duties while ensuring critical separation between initiation, approval, and reconciliation.
Schedule regular reviews
Review SOD assignments at least annually or when organizational changes occur to maintain alignment with evolving duties and systems.
Keep an auditable change log
Record who changed what and why, with dates, to support internal controls testing and external audit inquiries.
