BUSINESS SOFT HOLD AGREEMENT

This Business Soft Hold Agreement ("Agreement") is entered into as of by and between:

WHEREAS

WHEREAS, the Client has requested that the Company place certain services, invoices, collections activity, or account-related actions on a temporary administrative suspension ("Soft Hold") pending resolution of billing, delivery, or contractual disputes; and

WHEREAS, the Company is willing to accommodate a Soft Hold subject to the terms and conditions set forth herein, including defined scope, duration, and payment safeguards to preserve the Company's rights and mitigate potential loss.

NOW, THEREFORE, in consideration of the mutual covenants contained herein, the parties agree as follows:

SCOPE OF WORK / HOLD DESCRIPTION

The Soft Hold applies only to those obligations expressly listed above and does not constitute termination of the underlying agreement(s) unless expressly agreed in writing. The Soft Hold will not relieve the Client of obligations that by their nature cannot be suspended without third-party consent or statutory requirement.

All payments remaining due upon termination of the Soft Hold shall become immediately due and payable unless otherwise agreed in writing. The Client acknowledges that any amounts deferred by reason of the Soft Hold remain obligations and may incur the agreed late charges or interest when the obligation is reinstated.

Either party may terminate the Soft Hold for material breach after providing the other party the notice period indicated above to cure the breach. Termination will not affect rights or obligations accrued prior to termination, including payment obligations and the Company's right to pursue available remedies.

CONFIDENTIALITY

Each party agrees that all non-public information disclosed in connection with the Soft Hold, including accounting records, dispute materials, internal evaluations, and communications (collectively, "Confidential Information"), shall be held in confidence and used only for purposes reasonably necessary to administer or resolve the Soft Hold. Confidential Information shall not be disclosed to third parties except (i) as required by law, (ii) to advisors who are bound by confidentiality obligations, or (iii) with prior written consent of the disclosing party.

The confidentiality obligations shall survive termination of this Agreement for a period of two (2) years, except that trade secrets shall remain protected for as long as they qualify as trade secrets under applicable law.

LIMITATIONS, REPRESENTATIONS, AND WARRANTIES

Each party represents that it has the authority to enter this Agreement and that the granting of the Soft Hold will not violate any third-party agreement or law. The Soft Hold is an administrative accommodation and shall not be construed as a novation, settlement, or waiver of any rights except as expressly set forth herein. The Company makes no warranties other than those expressly set forth in this Agreement.

NOTICES

Notices required or permitted under this Agreement shall be given in writing and deemed delivered when received by the receiving party at the notice address provided above, or at such other address as a party may specify in writing.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflicts of law principles. The parties submit to the exclusive jurisdiction of the courts located in that state for disputes arising under this Agreement.

ENTIRE AGREEMENT

This Agreement, together with any exhibits or written amendments signed by both parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, representations, and understandings, whether oral or written. No amendment or waiver shall be effective unless in writing and signed by both parties.

ACKNOWLEDGMENT

The parties acknowledge that they have read and understand the terms of this Agreement and that they are authorized to execute this Agreement on behalf of the respective parties.
