What the Business SOH Page Is and When It’s Used

The Business SOH Page is a concise, single-page summary used to present a company’s statement of holdings, operational snapshot, or business status to counterparties, lenders, or internal reviewers. It collects core details — entity name, ownership percentages, material assets, recent financial highlights, and a short legal notice — so recipient parties can assess capacity or verify information quickly. The page is commonly attached to transactions, funding requests, compliance packets, or due-diligence packages where a one-page authoritative summary reduces back-and-forth and clarifies the business position for decision makers.

Why a Clear Business SOH Page Matters

A standardized SOH Page reduces review time and minimizes follow-up questions by centralizing essential facts and signatures.

Why a Clear Business SOH Page Matters

Who Typically Prepares and Reviews a Business SOH Page

The Business SOH Page is used by varied teams that need a compact verified summary for transactions or compliance.

  • Finance teams and controllers preparing due-diligence materials for lenders or investors.
  • Legal and compliance reviewers confirming signatory authority and record retention requirements.
  • Real estate and brokerage agents attaching a business summary to transaction packets.

Use this page when reviewers need fast, authoritative answers about ownership, assets, or signature authority.

Core Components to Include on a Professional SOH Page

A professional Business SOH Page balances brevity with completeness: include identity, holdings, authorized signers, effective date, notarization or witness fields, and a legal notice referencing governing law.

Entity

Legal business name, d/b/a if applicable, entity type (LLC, Inc., etc.), and state of formation so recipients can confirm corporate status.

Ownership

List owners or equity holders with percentage ownership; include representative signatures or initials next to each named holder when required.

Material Assets

Identify major assets or accounts being disclosed (real property, securities, contracts) with concise descriptions and valuation dates.

Authorized Signers

Name persons authorized to bind the business, their titles, and a brief statement of authority (board resolution or bylaw reference if applicable).

Authentication

Designate whether notarization, witness, or remote online notarization (RON) is required and include fields accordingly for seals and timestamps.

Legal Notice

Include governing law selection, a statement on electronic consent and retention, and a brief reference to signature legality under ESIGN/UETA.

Step-by-Step: Prepare and Finalize a Business SOH Page

Follow these sequential steps to prepare, verify, and distribute a compliant SOH Page for business use.

  • 01
Gather documents: Collect formation records, ownership schedules, and board resolutions.
  • 02
Complete fields: Fill legal name, ownership, assets, effective date, and signer details.
  • 03
Authenticate: Add notarization, witnesses, or eSignature evidence per jurisdiction.
  • 04
Distribute copies: Share certified copies with counterparties and retain records for audits.

Configuring a Digital Workflow for the SOH Page

Set up a repeatable digital workflow to collect signatures, attach supporting documents, and capture an audit trail for compliance.

Field Configuration
Signer Order Set role-based, sequential routing to enforce signing hierarchy.
Authentication Use email plus optional SMS or ID verification for higher assurance.
Attachments Require uploads for board resolutions or ID when necessary.
Audit Capture Enable time-stamped events, IP logging, and completion certificate.

Typical Digital Signing Flow for the SOH Page

A consistent signing flow reduces friction and preserves legal validity when using electronic signatures.

  • Upload Document: Sender uploads the SOH Page and attachments to the platform.
  • Place Fields: Add signature, date, and initial fields where required.
  • Assign Signers: Specify signer emails and routing order or roles.
  • Capture Audit: Platform logs timestamps, IPs, and authentication steps for the record.

Distribution Options and Platform Considerations

Choose distribution channels based on recipient preference and required authentication level.

  • Email Link: Guest signing via secure link; easy but lower authentication by default.
  • In-Person / Kiosk: Use for on-site witnessing or when high-assurance physical presence required.
  • API Integration: Automate sending from CRM or ERP with built-in audit capture.

Common Preparation Mistakes to Avoid

  • Using an informal or trade name instead of the registered legal entity causes verification delays and rejection by banks.
  • Omitting effective date or using inconsistent date formats can create disputes about when authority or ownership changed.
  • Failing to attach the authorizing board resolution or operating agreement often leads counterparties to request additional evidence.
  • Not capturing a clear signer authentication method or audit trail weakens enforceability under ESIGN and UETA standards.

Short Risks and Legal Consequences to Note

Verification Delay: Lost opportunities or funding delays.
Tax Exposure: Incorrect ownership reporting may trigger IRS inquiries.
Invalid Signature: Improper authentication risks repudiation.
Notary Failure: Missing acknowledgement can void filings.
Data Breach: Inadequate controls increase HIPAA/CCPA exposure.
Record Loss: Poor retention may breach regulatory obligations.
