What the Business Solution Is and When it Applies

A Business Solution is a formal written agreement or template used to document services, deliverables, pricing, timelines, and responsibilities between commercial parties. It may take the form of a proposal, service agreement, statement of work, or purchase arrangement and is used to set mutual expectations, allocate risk, and create enforceable obligations. This guide focuses on completing, validating, and retaining the Business Solution electronically, including eSignature and notarization options, applicable legal frameworks, and practical steps for accurate execution and recordkeeping.

Why a Clear Business Solution Matters

A concise Business Solution reduces ambiguity about scope, payment, and deliverables, improving enforceability and reducing disputes. It supports auditability and faster approvals when executed with adequate signatures and retention controls.

Why a Clear Business Solution Matters

Who Typically Prepares and Signs a Business Solution

The Business Solution is completed by contract owners, procurement teams, or account managers and reviewed by legal or finance as needed.

  • Procurement and Contracts — Buyers or procurement leads who control purchase terms and vendor selection.
  • Sales and Account Teams — Sales representatives and account managers who define deliverables and pricing.
  • Legal and Finance Reviewers — In-house counsel and finance staff who approve liability, tax, and payment clauses.

Multiple stakeholders often sign: the contracting business, the vendor, and an authorized officer or project manager depending on internal authority rules.

Essential Elements to Include in a Professional Business Solution

A robust Business Solution should clearly define parties, scope, schedule, payment, liability, and change control to avoid disputes and enable enforcement.

Parties

Identify full legal names and entity types for each party; use the name that appears on government formation documents or tax registrations.

Scope

Describe services or goods with measurable deliverables, milestones, and acceptance criteria to limit ambiguity in performance obligations.

Payment

State amounts, billing intervals, due dates, late fees, and applicable taxes to ensure correct invoicing and accounting treatment.

Term & Termination

Specify start and end dates, renewal mechanics, and termination rights including cure periods and termination for convenience if applicable.

Liability

Allocate risk with limitation of liability, indemnities, and insurance requirements tailored to the transaction size and industry.

Change Control

Include a process for amending scope, fees, or schedule such as written change orders signed by both parties.

Security and Compliance Features to Confirm

Encryption: AES-256 at rest, TLS 1.2/1.3
Audit Trail: Timestamps, IP, action log
Authentication: Email, SMS code, or advanced methods
Certifications: SOC 2 Type II, ISO 27001
Health Data: HIPAA BAA available
Regulatory: ESIGN and UETA compliant

Step-by-Step: Completing the Business Solution

Follow these steps to prepare, authenticate, and finalize a Business Solution with minimal errors and clear auditability.

  • 01
Draft: Populate parties, scope, pricing, and dates accurately.
  • 02
Review: Route to legal and finance for material and tax checks.
  • 03
Sign: Send for signatures and capture authentication evidence.
  • 04
Record: Save executed copies and document the retention location.

Where to Send or File the Completed Business Solution

Determine recipients and repositories before signing to ensure correct routing and long-term access for audits.

  • Internal Records: Finance and contracts repository for accounting and compliance.
  • External Parties: Send executed copies to all signers and approved third parties.
  • Cloud Storage: Use secure enterprise storage (Box, Google Drive, NetSuite).
  • Regulatory Filing: File with agencies only when explicitly required.

How to Configure an Online Signing Workflow

A consistent workflow reduces errors: set fields, define signer order, and enable required authentication before sending.

Field Configuration
Signature Field Required | Single signer placement
Signer Order Sequential | Assign signing sequence
Authentication Email or SMS code | Choose level
Retention Auto-save PDF | Archive location

Distribution Channels and Technical Integrations

Choose distribution channels that integrate with your systems to minimize manual handling and ensure audit logs are preserved.

  • Email Delivery: Standard signer notification and copy distribution
  • Enterprise Integrations: Connectors for Salesforce, NetSuite, Microsoft 365, and Google Workspace
  • APIs: Programmatic sending and retrieval for automated processes

Confirm your platform supports required formats (PDF, DOCX) and maintains a verifiable audit trail tied to each executed document.

Typical Timeframes and Deadlines to Track

Key dates should be defined inside the Business Solution and tracked externally to prevent missed milestones or payment delays.

Effective Date:

When obligations and protections begin

Milestone Deadlines:

Deliverable dates tied to payments

Invoice Due Dates:

Net payment terms such as Net 30

Renewal Notice:

Notice window for auto-renewal or termination

Record Retention:

Retention start tied to effective or completion date

Common Mistakes to Avoid When Preparing the Business Solution

  • Using informal or ambiguous scope language that leads to differing performance expectations and disputes.
  • Failing to match legal entity names and TINs, which can cause payment delays or tax reporting errors.
  • Omitting signature authority verification; unsigned or improperly authorized agreements may be unenforceable.
  • Neglecting to capture an audit trail or storing executed copies in unsecured or non-centralized locations.

Risks and Potential Consequences of Errors

Unenforceable Terms: Vague language can render obligations void
Tax Penalties: Incorrect reporting can trigger IRC §6721 fines
Data Breach: Inadequate security risks regulatory actions
HIPAA Exposure: Improper PHI handling can violate HIPAA
Delayed Payments: Missing invoice details can defer revenue recognition
Audit Failures: Insufficient records impede audits and compliance
